Note Exposure definition

Note Exposure means the greater of: (a) an amount equal to (1) the Aggregate Outstanding Nominal Amount of the Notes, less (2) an amount equal to 92.2% of the Value of the Notes Collateral that is in the form of securities and 100% of the Value of the Notes Collateral that is in the form of cash, and (b) zero. For the purposes of calculating the Note Exposure, no reduction of the Aggregate Outstanding Nominal Amount of the Notes shall be made to reflect Credit Events in respect of which a Final Price has not been determined or in respect of which Potential Failures to Pay or Potential ABS Failures to Pay or Potential Repudiation/Moratoriums have not been cured (and not resulted in the occurrence of a Credit Event) as of such Valuation Date;
Note Exposure means, with respect to any Noteholder, as of any date of determination, the outstanding principal amount of the Notes of such Noteholder.
Note Exposure means, with respect to any Investor, as of any date of determination, the outstanding principal amount of the Notes of such Investor; provided, at any time prior to the purchase of the Notes on the Closing Date, as applicable, the Note Exposure of any Investor shall include such Investor’s unfunded Commitment.

Note Exposure means, as to any Indenture, as of the date of determination, the Dollar Equivalent of the outstanding principal amount of Note Obligations thereunder.

  • Aggregate Exposure with respect to any Lender at any time, an amount equal to (a) until the Closing Date, the aggregate amount of such Lender’s Commitments at such time and (b) thereafter, the sum of (i) the aggregate then unpaid principal amount of such Lender’s Term Loans and (ii) the amount of such Lender’s Revolving Commitment then in effect or, if the Revolving Commitments have been terminated, the amount of such Lender’s Revolving Extensions of Credit then outstanding.
