Note Redemption Event definition

Note Redemption Event means the occurrence of any of the following at any time from and including 27 April 2022 and on or prior to the Scheduled Termination Date:

Examples of Note Redemption Event in a sentence

  • If a Note Redemption Event occurs on or prior to the Maturity Date (regardless of whether or not it is continuing) and the Swap Counterparty delivers a Redemption Event Notice to the Issuer, all the Notes outstanding (and not some only) shall be redeemed by payment in respect of each Note of the Early Cash Redemption Amount in accordance with the following provisions, and accordingly, Condition 7(b) (Mandatory Redemption) shall not apply.

  • For the avoidance of doubt, in the case of any Note Redemption Event, any failure or delay to deliver a Note Event Notice by or on behalf of the Buyer shall not constitute a waiver of Buyer’s right to deliver such a notice in respect of the relevant Note Redemption Event, any other Note Redemption Event.

  • Noteholders should be aware that they bear the risk of a Note Redemption Event occurring or having occurred at any time from and including 2 October 2019 (notwithstanding that such date precedes the Issue Date), up to and including the Maturity Date.

  • For the avoidance of doubt, the right of the Swap Counterparty to deliver a Redemption Event Notice and for the Issuer to redeem the Notes on the Early Redemption Date shall apply notwithstanding that on any day after the Note Redemption Event or the Exercise Date the market value of the Charged Assets or Pari Passu Debt increases and/or the Early Termination Costs decrease.

  • In connection with a Note Redemption Event where the Physical Redemption Conditions are not met at any time on or before the Physical Redemption Cut Off Date, all the Notes outstanding (and not some only) shall be redeemed by payment in respect of each Note of the Early Cash Redemption Amount in accordance with the following provisions.

  • In connection with a Note Redemption Event where the Physical Redemption Conditions are met and remain satisfied up to, and including, the Physical Redemption Cut Off Date, all the Notes outstanding (and not some only) shall be redeemed by delivery of the Physical Settlement Amounts on the Early Redemption Date in accordance with the following provisions, and accordingly Condition 7(f)(6) shall not apply.

  • If a Note Redemption Event occurs (regardless of whether or not it is continuing) and the Swap Counterparty or the Determination Agent delivers a Note Event Notice to the Issuer, amongst others, then in each case the following provisions shall apply.

  • If a Note Redemption Event occurs (regardless of whether or not it is continuing) and the Swap Counterparty delivers a Note Event Notice to the Issuer (other than where the Notesare redeemed pursuant to Condition 7(e) (Early redemption following an Administrator/Benchmark Event), whereupon the Note Event Notice shall be deemed to be automatically delivered on the Business Day following the Benchmark Adjustment Long Stop Date), then in each case the following provisions shall apply.

  • If a Note Redemption Event occurs (regardless of whether or not it is continuing) and the Swap Counterparty delivers a Note Event Notice to the Issuer, all the Notes outstanding (and not some only) shall be redeemed by payment of the Note Redemption Amount in respect of each Note in accordance with the following provisions and, accordingly, Condition 7(b) (Mandatory Redemption) shall not apply, save in respect of an Illegality Event which shall be an Additional Mandatory Redemption Event.

  • If a Note Redemption Event occurs on or prior to the Maturity Date (regardless of whether or not it is continuing) and the Swap Counterparty delivers a Redemption Event Notice to the Issuer, all the Notes outstanding (and not some only) shall be redeemed by payment in respect of each Note of the Early Cash Redemption Amount in accordance with the following provisions, and accordingly Condition 7(b) (Mandatory Redemption) shall not apply save to the extent provided in this Paragraph.

Note Redemption Event means the occurrence of any of the following events from and including 29 March 2021 to and including the Maturity Date:

  • Note Redemption Date means, with respect to any Notes to be redeemed under the Indenture, the date fixed for redemption of such Notes under the Indenture.

  • Redemption Event has the meaning set forth in Section 3.4.

  • Early Redemption Event means that R (k) is equal to or greater than the Early Redemption Level (k) on the respective Observation Date (k).

  • Mandatory Redemption Event has the meaning given to it in Condition 8.7.

  • Note Redemption Price means, for the Redemption Date, an amount equal to the sum of:

  • Automatic Early Redemption Event means that:

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Special Event Redemption Price has the meaning specified in Section 11.2.

  • Series A Redemption Date has the meaning set forth in Section 16.6.

  • Special Mandatory Redemption Event has the meaning specified in Section 3.02(a) hereto.

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Tax Event Redemption Date means the date upon which a Tax Event Redemption is to occur.

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Term Redemption Date means, with respect to any Series, the date specified as the Term Redemption Date in the Appendix for such Series.

  • Series A Redemption Notice has the meaning set forth in Section 16.6(b).

  • Special Redemption Date has the meaning set forth in Section 10.2.

  • Tax Redemption Date means, when used with respect to any Note to be redeemed pursuant to a Tax Redemption, the date fixed for such Tax Redemption pursuant to this Indenture.

  • Early Preference Share Redemption Event means the event that occurs if:

  • Optional Redemption Notice shall have the meaning set forth in Section 6(a).

  • Early Redemption Date means the date on which the Notes become due and payable pursuant to Condition 9;

  • Monthly Redemption Date means the 1st of each month, commencing immediately upon the nine month anniversary of the Original Issue Date and terminating upon the full redemption of this Debenture.

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.

  • Special Redemption has the meaning set forth in Section 15.1.A hereof.

  • Optional Redemption Notice Date shall have the meaning set forth in Section 6(a).

  • Redemption Rescission Event means the occurrence of (a) any general suspension of trading in, or limitation on prices for, securities on the principal national securities exchange on which shares of Common Stock or Marketable Securities are registered and listed for trading (or, if shares of Common Stock or Marketable Securities are not registered and listed for trading on any such exchange, in the over-the-counter market) for more than six-and-one-half (6-1/2) consecutive trading hours, (b) any decline in either the Dow Xxxxx Industrial Average or the S&P 500 Index (or any successor index published by Dow Xxxxx & Company, Inc. or S&P) by either (i) an amount in excess of 10%, measured from the close of business on any Trading Day to the close of business on the next succeeding Trading Day during the period commencing on the Trading Day preceding the day notice of any redemption of Securities is given (or, if such notice is given after the close of business on a Trading Day, commencing on such Trading Day) and ending at the time and date fixed for redemption in such notice or (ii) an amount in excess of 15% (or if the time and date fixed for redemption is more than 15 days following the date on which such notice of redemption is given, 20%), measured from the close of business on the Trading Day preceding the day notice of such redemption is given (or, if such notice is given after the close of business on a Trading Day, from such Trading Day) to the close of business on any Trading Day at or prior to the time and date fixed for redemption, (c) a declaration of a banking moratorium or any suspension of payments in respect of banks by Federal or state authorities in the United States or (d) the occurrence of an act of terrorism or commencement of a war or armed hostilities or other national or international calamity directly or indirectly involving the United States which in the reasonable judgment of the Company could have a material adverse effect on the market for the Common Stock or Marketable Securities.
