In the event the Company receives a Notice of Prepayment at Option of Holder Upon Change of Control, and the Company can prepay some, but not all, of the Securities pursuant to this Section, the Company shall prepay an amount equal to each Holder’s pro-rata amount (based on the principal amount of the Securities held by such Holder relative to the principal amount of the Securities outstanding) of all the Securities being prepaid at such time.
