Examples of Notice of Third Party Claim in a sentence
In no event will the provisions of this Article reduce or lessen the obligations of the parties under this Article, if prior to the expiration of the foregoing thirty (30) day notice period, the Indemnified Party furnishing the Notice of Third Party Claim responds to a third party claim if such action is reasonably required to minimize damages or avoid a forfeiture or penalty or because of any requirements imposed by law.
Such Notice of Third Party Claim shall be accompanied by copies of all relevant documentation with respect to such Third Party Claim, including any summons, complaint or other pleading that may have been served, any written demand or any other document or instrument.
The Party receiving such Notice of Third Party Claim may defend or settle such claims or actions at its expense with counsel of its choosing by giving a written notice (the “Election to Defend”) to the Party providing the Notice of Third Party Claim within thirty (30) days after the date such notice is deemed received.
If the facts giving rise to any such indemnification shall involve any actual claim or demand by any third party against a Buyer Indemnified Party or Shareholder Indemnified Party (referred to herein as an "Indemnified Party"), then the Indemnified Party will give prompt written notice of any such claim to the indemnifying party, which notice shall set forth in reasonable detail the nature, basis and amount of such claim (the "Notice of Third Party Claim").
The provisions of this Section 11(c)(i) do not reduce the obligations of the Parties under this Section 11 if, prior to the expiration of such 30-day notice period, the Party furnishing the Notice of Third Party Claim responds to a third party if such action is reasonably required to minimize damages or avoid a forfeiture or penalty or because of a requirement imposed by law.
