Novelis Acquisitions means Novelis Acquisitions LLC, a Delaware limited liability company.
Novelis Acquisitions has the meaning assigned to that term in the preamble to this Agreement.
Novelis Acquisitions shall have the meaning assigned to such term in the preamble hereto. “Novelis AG” shall mean Novelis AG, a stock corporation (AG) organized under the laws of Switzerland. “Novelis AG Cash Pooling Agreement” shall mean a Cash Management Agreement entered into among Novelis AG and certain “European Affiliates” (as identified therein) dated 1 February 2007, together with all ancillary documentation thereto. “Novelis Inc.” shall mean Novelis Inc., a corporation amalgamated under the Canada Business Corporations Act. “Novelis Switzerland” shall mean Novelis Switzerland SA, a company organized under the laws of Switzerland. “Obligation Currency” shall have the meaning assigned to such term in Section 11.18(a). “Obligations” shall mean (a) obligations of the Borrower and the other Loan Parties from time to time arising under or in respect of the due and punctual payment of (i) the principal of and premium, if any, and interest (including interest accruing (and interest that would have accrued but for such proceeding) during the pendency of any bankruptcy, insolvency, receivership or other similar proceeding, regardless of whether allowed or allowable in such proceeding) on the Loans, when and as due, whether at maturity, by acceleration, upon one or more dates set for prepayment or otherwise and (ii) all other monetary obligations, including obligations under the Guarantees and fees, costs, expenses and indemnities, whether primary, secondary, direct, contingent, fixed or otherwise (including monetary obligations incurred during the pendency of any bankruptcy, insolvency, receivership or other similar proceeding, regardless of whether allowed or allowable in such proceeding), of the Borrower and the other Loan Parties under this Agreement and the other Loan Documents, and (b) the due and punctual performance of all covenants, agreements, obligations and liabilities of the Borrower and the other Loan Parties under or pursuant to this Agreement and the other Loan Documents. “OFAC” shall have the meaning assigned to such term in Section 3.22. 44 1120544.02G-CHISR02A - MSW
