NY Green Bank Termination Notice means a notice from NY Green Bank to the Administrative Agent confirming that the “Debt Termination Date” under the NY Green Bank Loan Agreement has occurred.
Termination Notice means the communication issued in accordance with this Agreement by one Party to the other Party terminating this Agreement;
Special Termination Notice means the Notice of Special Termination substantially in the form of Annex VII to this Agreement.
Servicer Termination Notice Defined in Section 6.15.
Early Termination Notice is defined in Section 4.2 of this Agreement.
Commitment Termination Event means (a) the occurrence of any Event of Default described in clauses (a) through (d) of Section 8.1.9, or (b) the occurrence and continuance of any other Event of Default and either (i) the declaration of the Loans to be due and payable pursuant to Section 8.3, or (ii) in the absence of such declaration, the giving of notice to the Borrower by the Administrative Agent, acting at the direction of the Required Lenders, that the Commitments have been terminated.
Collateral Custodian Termination Notice has the meaning assigned to that term in Section 12.05.
Company Termination Event means any of the following:
Notice of Termination for Good Reason shall have the meaning set forth in Section 1(t).
Escalation Notice has the meaning set forth in Section 8.02.
Extended Termination Date has the meaning specified in Section 2.16(c).
Network Termination Point (NTP) means the physical point at which a subscriber is provided with access to a public communications network; in the case of networks involving switching or routing, the NTP is identified by means of a specific network address, which may be linked to a subscriber number or name;
Addition Notice With respect to the transfer of Subsequent Mortgage Loans to the Trust Fund pursuant to Section 2.08, a notice of the Depositor's designation of the Subsequent Mortgage Loans to be sold to the Trust Fund and the aggregate principal balance of such Subsequent Mortgage Loans as of the Subsequent Cut-off Date. The Addition Notice shall be given not later than three Business Days prior to the related Subsequent Transfer Date and shall be substantially in the form attached hereto as Exhibit P.
Continuation Notice as defined in Section 2.17(a).
Potential Termination Event means an event which, with the giving of notice and/or the lapse of time, would constitute a Termination Event.
Determination Notice is defined in Section 6.1(b)(i) of the Agreement.
Additional Termination Event has the meaning specified in Section 5(b).
Mediation Notice is defined in Section 6.2(b).
Loan Termination Date means the earliest to occur of the following: (i) as to the REVOLVING NOTES, November 1, 2012, as to the TERM NOTES, October 31, 2016, (ii) the date the OBLIGATIONS are accelerated pursuant to this AGREEMENT, and (iii) the date ADMINISTRATIVE AGENT has received (a) notice in writing from BORROWER of BORROWER’s election to terminate this AGREEMENT and (b) indefeasible payment in full of the OBLIGATIONS.
Outside Termination Date shall have the meaning set forth in Section 8.01(f).
Confirmation Notice means a notice provided by the Issuer to an Investor in accordance with clause 1.3(c) of the Terms;
Automatic Termination shall have the meaning set forth in Section 2.3.2.
Effective Termination Date has the meaning set forth in Section 10(b) hereof.
Initial Termination Date has the meaning set forth in Section 8.2(a).
Reduction Notice has the meaning set forth in Section 1.3.
Service Termination Date means the last Day in a month upon which Service shall terminate, as set forth in a Schedule of Service and subject to any renewal thereof.
