Any Person which owns shares of Common Stock and which, prior to the date of determination, was an Oaktree Investor, but, on the date of determination, Oaktree is not the sole investment manager of, shall not be entitled to any rights under this Agreement.
For the purpose of Section 6(a)(i), the term "transfer" shall include, with respect to an Oaktree Investor, Oaktree no longer being the sole investment manager of such Oaktree Investor.
It is understood by the parties hereto that the Oaktree Investor shall not be required to have its Directors represented on any committee and any failure to exercise such right in this section in a prior period shall not constitute any waiver of such right in a subsequent period.

Parent, the Issuer and the Investors acknowledge that Parent's and Issuer's entry into the Oaktree Investor Rights Agreement is not prohibited by this Section 5.9.
In the event the Transfer Securities are not transferred in such manner within such 90-day period, the Transfer Securities shall be subject to the provisions of this Section 2B(i) in connection with any subsequent Transfer or proposed Transfer by an Oaktree Investor or an Indigo Investor, as the case may be.

Unless the Board otherwise requests, the office of a Director shall be vacated in the event of a reduction in the number of available Oaktree Director or Solon Director designations in accordance with the provisions of Section 2(a), respectively, in which case the Oaktree Investor or the Solon Investors, as the case may be, shall use its best efforts to obtain the resignation of its designee(s) from the Board and any committee on which such Director serves.
Parent, the Issuer and the Investors acknowledge that Parent’s and Issuer’s entry into the Oaktree Investor Rights Agreement is not prohibited by this Section 5.9.
