Offered Prepayment Amount definition

Offered Prepayment Amount means, with respect to any Discounted Term Loan Prepayment, the aggregate principal amount being offered to be prepaid under Section 7.2(b) by the Company, which amount shall be in an aggregate amount not less than $5,000,000 or an integral multiple of $1,000,000 if in excess thereof.

Examples of Offered Prepayment Amount in a sentence

  • If the aggregate proceeds required to prepay all Qualifying Loans (disregarding any interest payable at such time) would be less than the amount of aggregate proceeds required to prepay the Proposed Offered Prepayment Amount, such amounts in each case calculated by applying the Applicable Price, the Borrower shall prepay all Qualifying Loans.

  • The Proposed Offered Prepayment Amount shall not be less than $25,000,000 (or such lesser amount if the Term Loans of such specified Class have a lower aggregate amount outstanding at such time).
