The Offeree Party shall have a right of first refusal to such offer, and shall have sixty (60) days upon the receipt of such notice (“Acceptance Period”) to respond in writing.
If the Offeree Party accepts the offer, the Transferring Party and the Offeree Party shall apply for the registration of such transfer with the Licensing Authority.
If the Offeree Party does not make the election aforesaid within that period of 30 days, the right or interest acquired shall not form part of the Property and the Acquiring Party shall be solely entitled thereto.
The failure of such Demand Registration Offeree Party to respond within the Demand Registration Notice Period shall be regarded as a rejection of the offer to participate in such registration as contemplated by the Demand Registration Piggy-Back Offer and shall be deemed to be a waiver of its rights under this Section 3 with respect to such Demand Registration.
In the event that the Offeree Party notifies the Selling Party in writing within the Refusal Period of its desire to purchase the offered Equity Securities ("Exercise Notice"), then the sale and purchase of such Equity Securities shall be consummated within thirty (30) days after the date of the Selling Party's receipt of such Exercise Notice or, if later, the date as of which the Parties have obtained all required Governmental Approvals for such sale and purchase.
The Piggy-Back Registration Notice shall also state that acceptance of the Piggy-Back Offer must (i) be in writing, (ii) state the number of Registrable Securities proposed to be registered by such Piggy-Back Registration Offeree Party, and (iii) be received by the Company within ten (10) Business Days after receipt of such Piggy-Back Registration Notice (the "Piggy-Back Registration Notice Period").
In the event that a Demanding Holder desires to request a Demand Registration pursuant to Sections 3(a) or 3(b) hereof, such Demanding Holder shall first give, seven (7) Business Days prior to such request, an offer (a "Demand Registration Piggy-Back Offer") to each other Holder (each a "Demand Registration Offeree Party") to participate in such registration by including a portion of such Demand Registration Offeree Party's Registrable Securities in the request for the Demand Registration.
Upon the giving of the Demand Registration Piggy-Back Offer, the offer made therein to the Demand Registration Offeree Party shall be irrevocable unless and until the rights provided for therein shall be waived or the Demand Registration request shall be withdrawn or the relevant registration statement terminated.
After receipt of such notice, the Offeree Party shall provide written irrevocable notice of the exercise of its tag-along right set forth in this Section 4.3.4(a) and the number of Shares it desires to include in the proposed sale (a “Tag-along Acceptance Notice”) to the Offering Party within the thirty (30) day period set forth in Section 4.3.1. The Tag-along Acceptance Notice shall be deemed to be a valid and binding agreement of the Offeree Party to sell its Shares.
Any terms and conditions not specified in the Bona Fide Offer will be mutually agreed upon by the Offeree Party and the Selling Party.
