If the Offeree Party accepts the offer, the Transferring Party and the Offeree Party shall apply for the registration of such transfer with the Licensing Authority.
The Offeree Party shall have a right of first refusal to such offer, and shall have sixty (60) days upon the receipt of such notice (“Acceptance Period”) to respond in writing.

If more than one Offeree Party, with reference to the acquisition of the Unsold Shares, exercises its Preemptive Right over the Unsold Shares, such Offeree Parties shall be obliged to acquire the Unsold Shares proportionally to the number of Affected Shares they hold in relation to the total number of Affected Shares, excluding the share ownership of all the other shareholders.
In the event that the Offeree Party notifies the Selling Party in writing within the Refusal Period of its desire to purchase the offered Equity Securities ("Exercise Notice"), then the sale and purchase of such Equity Securities shall be consummated within thirty (30) days after the date of the Selling Party's receipt of such Exercise Notice or, if later, the date as of which the Parties have obtained all required Governmental Approvals for such sale and purchase.
If the Offeree Party or such other purchaser agrees to purchase all but not less than all of the Offered Shares, the Offering Party shall sell such Offered Shares to the Offeree Party or such other purchaser as provided herein.
