  • The Offeree Party shall have a right of first refusal to such offer, and shall have sixty (60) days upon the receipt of such notice (“Acceptance Period”) to respond in writing.

  • After receipt of such notice, the Offeree Party shall provide written irrevocable notice of the exercise of its tag-along right set forth in this Section 4.3.4(a) and the number of Shares it desires to include in the proposed sale (a “Tag-along Acceptance Notice”) to the Offering Party within the thirty (30) day period set forth in Section 4.3.1. The Tag-along Acceptance Notice shall be deemed to be a valid and binding agreement of the Offeree Party to sell its Shares.

  • Third Party Purchaser means any Person who, immediately prior to the contemplated transaction, (a) does not directly or indirectly own or have the right to acquire any outstanding Common Shares or (b) is not a Permitted Transferee of any Person who directly or indirectly owns or has the right to acquire any Common Shares.

  • Offeree means an individual to whom the Committee has offered the right to acquire Shares under the Plan (other than upon exercise of an Option).

  • Eligible Holder means a Limited Partner whose (a) federal income tax status would not, in the determination of the General Partner, have the material adverse effect described in Section 4.9(a)(i) or (b) nationality, citizenship or other related status would not, in the determination of the General Partner, create a substantial risk of cancellation or forfeiture as described in Section 4.9(a)(ii).

A Partner shall cease to be a Participating Stockholder under this Agreement and shall be deemed to be a Former Partner immediately prior to any event or lapse of time that causes such Partner to no longer be a “Participating Stockholder” under such applicable stockholders’ agreements.

  • Eligible Shareholder means an existing or new investor of the Company that is eligible at the ACD’s discretion to invest in the Class X Shares upon entering into an agreement with the ACD and fulfilling the eligibility conditions set by the ACD from time to time.
