Offering Range definition

Offering Range means any Dollar amount between the Offering Maximum and the Offering Minimum.
Offering Range means the range of the estimated pro forma market value of the total Additional Shares to be issued pursuant to this Stock Plan (in establishing the Offering Range, the Company’s Board of Directors may elect to fix the price per share of the Additional Shares offered hereby and establish a range of the number of Additional Shares to be offered and sold in the Offerings).
Offering Range means the range of dollar amounts extending from and including an amount equal to the Minority Percentage times the Minimum of the Valuation Range to and including an amount equal to the Minority Percentage times the Maximum of the Valuation Range.

  • The Offering Range will be equal to the Appraised Value Range multiplied by the Majority Ownership Interest.

  • The Employee Plans of the Holding Company and the Bank shall have subscription rights to purchase in the aggregate up to 10% of the Subscription Shares issued in the Offering, including any Subscription Shares to be issued as a result of an increase in the maximum of the Offering Range after commencement of the Subscription Offering and prior to completion of the Conversion.

More Definitions of Offering Range

Offering Range means the range of the minimum and maximum aggregate values determined by the Board of Managers of the Bank within which the aggregate offering price of Common Stock sold in the Reorganization will fall. The Offering Range will be within the estimated aggregate pro forma market value of the Common Stock, as determined by the Independent Appraiser in accordance with Section 4.03. The maximum of the Offering Range shall be no more than 15% above the average of the minimum and maximum of such range and the minimum of which shall be no more than 15% below such average.
Offering Range means the range of the minimum and maximum aggregate values determined by the Boards of Trustees or Directors of the Primary Parties within which the aggregate offering price of Company Common Stock sold in the Conversion will fall. The Offering Range will be within the estimated aggregate pro forma market value of the Conversion Stock, as determined by the Independent Appraiser in accordance with Section 5.02. The maximum of the Offering Range shall be no more than 15% above the average of the minimum and maximum of such range and the minimum of which shall be no more than 15% below such average. Offerings mean the Subscription Offering, the Syndicated Offering or the Public Offering, if any. Officer means an executive officer of the MHC, the Company or the Bank, which includes the chairman of the board, chief executive officer, president, any executive vice president in charge of a principal business function or functions or who otherwise has a policy-making function, secretary, treasurer or principal financial officer, controller or principal accounting officer, and any person performing functions similar to those performed by the foregoing persons.

Related to Offering Range

  • Offering Shares means the Class A Shares sold in the Offering, whether such Class A Shares were purchased in the Offering or in the secondary market following the Offering and whether or not such holders are affiliates of the Sponsor.

  • Maximum Offering Size has the meaning set forth in Section 2(d);

  • Offering Period means a period with respect to which the right to purchase Stock may be granted under the Plan, as determined pursuant to Section 4(a).

  • Offering shall have the meaning ascribed to such term in Section 2.1(c).

  • Public Offering Price means the price per Share of the Fund at which NLD or selected dealers or selected agents may sell Shares to the public or to those persons eligible to invest in Shares as described in the Prospectus of the Funds, determined in accordance with such Prospectus under the Securities Act relating to such Shares.

  • Initial Offering Period means the initial period during which a Series of the Trust will offer its Shares prior to the commencement of investment operations of such Series;

Such maximum shall be determined by the Board (or a committee authorized by the Board) in such a manner as to avoid securities filings, to achieve certain tax results or to meet other Company objectives.

  • Offering Price has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Initial Public Offering Price means the price per share of APP Common Stock received by APP before underwriting commissions, discounts or other fees in connection with its Initial Public Offering.

  • Minimum Offering Notice means a written notification, signed by Broker, pursuant to which the Broker shall represent (1) that subscriptions for the Minimum Offering have been received, (2) that, to the best of Broker’s knowledge after due inquiry and review of its records, Cash Investment Instruments in full payment for that number of Shares equal to or greater than the Minimum Offering have been received, deposited with and collected by NCPS, (3) and that such subscriptions have not been withdrawn, rejected or otherwise terminated, and (4) that the Subscribers have no statutory or regulatory rights of rescission without cause or all such rights have expired.

  • Qualified Initial Public Offering means a firm underwritten offering of the Company pursuant to a registration statement under the Securities Act (i) of common Capital Stock having an aggregate gross offering price of at least $50,000,000 and (ii) reasonably expected to result in more than 100 holders of record of Voting Stock of the Company (exclusive of holdings of Affiliates and employees of the Company).

  • Shelf Offering has the meaning set forth in Section 1(d)(i).

  • Offered Interests has the meaning set forth in Section 8.5(a).

  • Participating Shares means shares that entitle their holders to participate without limitation in distributions.

  • Maximum Offering Amount means have the meaning set forth in the recitals hereto.

  • Periodic Offering means an offering of Securities of a series from time to time, the specific terms of which Securities, including, without limitation, the rate or rates of interest, if any, thereon, the stated maturity or maturities thereof and the redemption provisions, if any, with respect thereto, are to be determined by the Issuer or its agents upon the issuance of such Securities.

  • Rights Offering Shares means, collectively, the shares of New Common Stock issued in the Rights Offering.

  • REIT Shares shall have the meaning set forth in the OP Agreement.
