If the offer is not accepted in respect of any of such Shares, the Offering Shareholder shall be entitled to retain such Shares subject to the remaining provisions of this Agreement.
As soon as the Fair Value has been determined (whether by agreement or by Auditors, as applicable) and notified in writing to the Remaining Shareholders and the Offering Shareholder, the Offering Shareholder shall be deemed to have offered the Shares to the Remaining Shareholders (if more than one in proportions agreed among them, in writing or if not so agreed, proportionately to their shareholding) at the price agreed or determined.
Each of the Remaining Shareholders who accepts the offer shall use his best endeavours to procure the release of the Offering Shareholder pro rata (in the same ratio as the Shares so purchased by him in terms of this clause 5.8 bear to all the Shares held by the Offering Shareholder) from any liability which the Offering Shareholder may have under any guarantees, suretyships and indemnities which may have been given by the Offering Shareholder for the Company's obligations.
Until the release is procured, each of the Remaining Shareholders who accepts the offer indemnifies the Offering Shareholder against any such liability, on the same pro rata basis referred to above.
