Offshore Guarantors definition

Offshore Guarantors means, collectively, the Australian Guarantors, the New Zealand Guarantors, the Canadian Guarantors, the Dutch Guarantors and, if applicable, any Additional Foreign Subsidiary Borrower and any of its Material Subsidiaries which are required to become Offshore Guarantors pursuant to Section 7.9(b). As of the Closing Date, the Offshore Guarantors are set forth on Schedule 1.1(e).
