Open Customer Orders definition

Open Customer Orders shall have the meaning set forth in Section 2.1(j).
Open Customer Orders means all orders from customers of the Business that have not been shipped that were incurred in the ordinary course of business consistent with Past Practice.
Open Customer Orders means prescription orders from patients served by the Pharmacy Business that have been received by a Seller but not filled by a Seller prior to the Closing Date, a list of which shall be provided to Buyer at the Closing, and which shall be limited to orders (i) received by a Seller in the ordinary course of business consistent with past practices (with prices no less favorable than customarily obtained for similar prescriptions), (ii) comply with Buyer’s credit policies and procedures and (iii) are otherwise acceptable to Buyer.
