Option Offers definition

Option Offers means the possible voluntary conditional cash offer by ABN AMRO on behalf of Atlantic Industries for the cancellation of the Huiyuan Options at the consideration of, in the case of the Pre-IPO Huiyuan Options, HK$6.20 per Pre-IPO Huiyuan Option and, in the case of the Post-IPO Huiyuan Options, HK$5.81 per Post-IPO Huiyuan Option
Option Offers means the possible conditional mandatory cash offers by the Joint Financial Advisers on behalf of Bidco to the IMM Optionholders for cancellation of the Share Options;
Option Offers means the offers by Focus to Crescent Optionholders to acquire Crescent Options in exchange for scrip based consideration in the form of Focus Shares at various ratios for the various classes of Crescent Options pursuant to an Option Assignment Deed;

In determining the market/offer price, the value of consideration other than cash shall be determined by a nationally recognized investment banking firm selected by the Holder or Owner, as the case may be, and reasonably acceptable to Issuer.

  • Subsequent Offering means any further issuance of Interests in any Series, excluding any Initial Offering or Transfer.
