Option Units definition

Option Units means the Common Units that the Partnership will agree to issue upon an exercise of the Over-Allotment Option.
Option Units means the Common Units subject to the Over-Allotment Option.
Option Units has the meaning set forth in Article III.

Examples of Option Units in a sentence

  • The right to purchase the Option Units, or any portion thereof, may be exercised from time to time and to the extent not previously exercised may be surrendered and terminated at any time upon notice by the Representative to the Company.

  • Upon exercise of the Over-allotment Option, the Company will become obligated to convey to the Underwriters, and, subject to the terms and conditions set forth herein, the Underwriters will become obligated to purchase, the number of Option Units specified in such notice.

  • The amount of the payments for the Option Units to be deposited in the Trust Account will include $0.40 per Option Unit (up to $1,200,000), payable to the Representative, as Deferred Underwriting Commission, in accordance with Section 1.3 hereof.

  • The Over-allotment Option granted pursuant to Section 1.2.1 hereof may be exercised by the Representative as to all (at any time) or any part (from time to time) of the Option Units within forty-five (45) days after the effective date (“Effective Date”) of the Registration Statement (as defined in Section 2.1.1 hereof).

Option Units shall have the meaning ascribed to such term in Section 2.2(a).
Option Units means the Common Units that the Partnership will agree to issue upon exercise of the Underwriters’ Option.

Option Units shall continue to be Option Units in the hands of any holder other than Executive (including, without limitation, any Permitted Transferee of the Executive), except for the Company, or any transferee in an underwritten public offering registered under the Securities Act. Except as otherwise provided herein, each other holder of Option Units will succeed to the rights and obligations attributable to the Executive as a holder of Option Units hereunder.
