It is understood and agreed that the Agents are under no obligation to purchase any of the Units as principal. The Agents and the Company agree that the Company may also offer units directly to purchasers at the Offering Price by way of non-brokered private placement in the United States in the aggregate amount of up to $1,500,000 (or such other amount as the parties may agree), which is expected to close on the Closing Date (the "Non-Brokered Placement").
