Optional Cash Payments definition

Optional Cash Payments means the cash payments which Participants wish to make in order to participate in the Purchase Plan.
Optional Cash Payments means additional sums, in excess of reinvested Distributions, which a Participant opts to contribute under the Plan for the purposes of acquiring Plan Shares;
Optional Cash Payments. A participant's optional cash payment must be made by check or money order, payable to Registrar & Transfer Company, and may not be less than $100 nor more than $3,000 per dividend period. Optional cash payments must be received by R&T no more than 30 business days and no less than two business days prior to a dividend payment date. It is anticipated that future dividend payments will ordinarily be made on February 1, May 1, August 1, and November 1. Payments that are not received within this period will be returned to you. A participant may withdraw his or her entire optional cash payment by written notice to R& T not less than 48 hours before such payment is to be invested.

  • The Participant will also be entitled to make Optional Cash Payments (as defined below) for the purchase of additional shares of Myers Stock in accordance with the provisions of the Plan.

  • With respect to both reinvested dividends and Optional Cash Payments and whether the shares are acquired directly from us or on the open market, they will be purchased for the Plan at the Market Price, as defined below.

Related to Optional Cash Payments

  • Net Cash Payments means, with respect to any Disposition, the aggregate amount of all cash payments received by the Company and its Restricted Subsidiaries directly or indirectly in connection with such Disposition, whether at the time of such Disposition or after such Disposition under deferred payment arrangements or Investments entered into or received in connection with such Disposition (including, without limitation, Disposition Investments); provided that:

  • Cash Payment has the meaning assigned by Section 2.7(b)(ii).

  • Excess Cash Payment Date means the date occurring 95 days after the last day of each Fiscal Year of Holdings (commencing with the Fiscal Year of Holdings ended December 31, 2010).

  • Closing Cash Payment has the meaning set forth in Section 2.06(a).

  • Non-Cash Consideration means the Fair Market Value of non-cash consideration received by the Borrower or a Subsidiary in connection with an Asset Sale less the amount of cash or Cash Equivalents received in connection with a subsequent sale of or collection on such Non-Cash Consideration.

  • Earnout Payments has the meaning set forth in Section 2.06(a).

  • Series A Distribution Payment Date has the meaning assigned to such term in Section 5.11(b)(i)(A).

  • Cash Portion is defined in Section 2.2(a)(iii) hereof.

  • Excess Cash Amount means, as of any Excess Cash Measurement Date, (a) the total amount of Unrestricted Cash, less (b) the sum of (i) the applicable Minimum Cash Threshold hereto corresponding to such Excess Cash Measurement Date, (ii) the total amount of scheduled payments due by OEC and its Subsidiaries, taken as a whole, under (x) the New Notes and (y) any other Permitted Indebtedness in each case in the subsequent twelve (12) month period, (iii) projected expenses for the Issuer to conduct its operations during the subsequent twelve (12) month period, including any foreign currency conversion expenses and (iv) for any Excess Cash Measurement Date through (and including) December 31, 2024, any Fines due by OEC and its Subsidiaries for the subsequent twelve (12) month period; less (c) an amount equal to the Required Gross-Up; provided that any items already deducted from cash and short-term investments of OEC and its Subsidiaries for purposes of determining Unrestricted Cash shall not be deducted again for purposes of determining the Excess Cash Amount.

  • Cash Contribution Amount means the aggregate amount of cash contributions made to the capital of the Issuer or any Guarantor described in the definition of “Contribution Indebtedness.”

  • Earnout Payment has the meaning set forth in Section 2.3(b).

  • Performing Cash Pay Mezzanine Investments means Mezzanine Investments (a) as to which, at the time of determination, not less than 2/3rds of the interest (including accretions and “pay-in-kind” interest) for the current monthly, quarterly, semi-annual or annual period (as applicable) is payable in cash and (b) which are Performing.
