Original Preference Shares definition

Original Preference Shares means, as of any date, the Common Shares issuable upon conversion of the Series A Preference Shares issued pursuant to the Investment Agreement on the date hereof plus the Common Shares that were converted from Series A Preference Shares issued pursuant to the Investment Agreement as of the date hereof (without duplication).
Original Preference Shares means 40,124,154 preference shares in the capital of the Issuer, subscribed for by the Sponsor pursuant to the Preference Shares Subscription Letter, recorded as issued and existing in the Share Register.
Original Preference Shares means the number of Junior Preference Shares distributable pursuant to the Plan.

  • Prior to the Scheme Effective Time, two Newco Original Ordinary Shares and 49,998 redeemable preference shares ("Newco Original Preference Shares") shall be issued and outstanding.
