Other Offer definition

Other Offer means any inquiry, proposal or offer relating in any manner to an Other Transaction.
Other Offer means another tender or exchange offer to purchase all of the shares of Common Stock held by Persons other than such Offeror and its Affiliates at a price per share in cash and/or at an exchange ratio which is equal to or financially superior to the cash price and/or the exchange ratio contained in the Resolution approved at the Special Meeting; provided, however, that the rights under the Rights Plan shall not be redeemed at any time from and after such time as any Person becomes an Acquiring Person.
Other Offer as defined in Section 9.4(d).

  • If the Purchase Price is escalated as set forth in this Paragraph, then Acceptance shall require Seller to deliver a copy of the Other Offer to Purchaser together with the executed acceptance of Purchaser’s Offer, without change (including the Acknowledge of Acceptance below).

  • If the Seller receives any additional bona fide offer(s) made in good faith for the purchase of the Property with terms acceptable to Seller (“Other Offer”), the Purchase Price shall increase to an amount that is $ (the “Escalation Factor”) greater than the highest purchase price contained in any Other Offer (“Other Offer Price”).

  • Potential For Multiple Escalations: Purchaser acknowledges that if Seller receives more than one Other Offer and/or any Other Offer contains a similar price escalation clause, that escalation of the Purchase Price as set forth in Paragraph 1(a) above may occur more than once, and in some cases, may result in escalation of the Purchase Price to an amount equal to the Cap.

  • Takeover Offer means an offer in accordance with Section 3.6 for the entire issued share capital of Allergan (other than any Allergan Shares beneficially owned by AbbVie or any member of the AbbVie Group (if any) and any Allergan Shares held by any member of the Allergan Group) including any amendment or revision thereto pursuant to this Agreement, the full terms of which would be set out in the Takeover Offer Document or (as the case may be) any revised offer documents.

  • Tender Offer means a takeover offer, tender offer, exchange offer, solicitation, proposal or other event by any entity or person that results in such entity or person purchasing, or otherwise obtaining or having the right to obtain, by conversion or other means, greater than 10 per cent. and less than 100 per cent. of the outstanding voting shares of the Share Company, as determined by the Determination Agent, based upon the making of filings with governmental or self-regulatory agencies or such other information as the Determination Agent deems relevant.

  • Public Offering means the sale in an underwritten public offering registered under the Securities Act of equity securities of the Company or a corporate successor to the Company.

  • Third Party Offer has the meaning set forth in Section 3.2.2(a).

  • Qualified Initial Public Offering means a public offering of the securities of Parent pursuant to an effective registration statement filed under the Securities Act, that is fully underwritten pursuant to a firm commitment contract and with respect to which the product of (a) the price to the public per share multiplied by (b) the aggregate number of offered shares will yield Net Offering Proceeds of at least $50,000,000.

  • Initial Offering means the Company’s first firm commitment underwritten public offering of its Common Stock registered under the Securities Act.

  • Proposed Transaction is defined in Section 6.2(a).

  • Company Acquisition Proposal means any proposal for a merger or other business combination involving the Company or the acquisition of any equity interest in, or a substantial portion of the assets of, the Company, other than the transactions contemplated by this Agreement.

  • Subscription Offering means the offering of the Conversion Stock to Participants.

  • Proposed Sale has the meaning set forth in Section 2.4(a).

  • Shelf Offering has the meaning set forth in Section 1(d)(i).

  • Underwritten Offering Notice has the meaning set forth in Section 2(b).
