Overdue Amount means any amount required to be paid by the Issuer under any of the Finance Documents but not made available to the Bondholders on the relevant Payment Date or otherwise not paid on its applicable due date.
Due notice means notice published at least twice, with an interval of at least six days between the two publication dates, in a newspaper or other publication of general circulation within the appropriate area; or, if no such publication of general circulation be available, by posting at a reasonable number of conspicuous places within the appropriate area, such posting to include, where possible, posting at public places where it may be customary to post notices concerning county or municipal affairs generally. At any hearing held pursuant to such notice, at the time and place designated in such notice, adjournment may be made from time to time without the necessity of renewing such notice for such adjourned dates.
Overdue Interest means any interest payable pursuant to Section 2.8(b) of the Credit Agreement.
Overdue Payment shall have the meaning specified in Section 4.03(a).
Overdue Rate means, on any date, a per annum rate of interest equal to the lesser of fifteen percent (15%) and the maximum rate then permitted under applicable law.
Overdue Scheduled Payment means any Scheduled Payment which is not in fact received by the Subordination Agent within five days after the Scheduled Payment Date relating thereto.
Overdue Interest Rate means, with respect to any Class, the Interest Rate applicable to such Class.
Notice of Default means a written notice of the kind specified in Section 5.1(4).
Reset Notice has the meaning specified in Section 3.07.
Payment Notice has the meaning assigned to it in Section 8.06(c).
Xxxxx Notice means the Notice of Grant of Stock Option accompanying the Agreement, pursuant to which Optionee has been informed of the basic terms of the option evidenced hereby.
Default Notice means the written notice of Default of the Agreement issued by one Party to the other.
Pre-Notice shall have the meaning ascribed to such term in Section 4.13.
Acceleration Notice shall have the meaning specified in Section 6.2.
Repayment Notice Each notice required to be delivered by the Borrower pursuant to Section 2.3 in respect of any reduction in the Facility Amount or repayment of Advances Outstanding, in the form of Exhibit A-2.
Notice of Special Rate Period means any notice with respect to a Special Rate Period of shares of MuniPreferred pursuant to subparagraph (d)(i) of Section 4 of Part I of this Statement.
Notice means notice in writing;
Acceptance and Prepayment Notice means a notice of the Borrower’s acceptance of the Acceptable Discount in substantially the form of Exhibit M.
OJEU Notice means the contract notice published in the Official Journal of the European Union.
Default Fee means with respect to any amount due and payable by Seller in respect of any Aggregate Unpaids, an amount equal to the greater of (i) $1000 and (ii) interest on any such unpaid Aggregate Unpaids at a rate per annum equal to 2% above the Prime Rate.
Desired Due Date means the desired service activation date as requested by CLEC on a service order.
Delivery Notice Has the meaning specified in the NPA.
Default Interest means interest chargeable in terms of this Agreement to unpaid amounts or outstanding obligations which interest shall be calculated, from the due date until date of payment, on a daily balance and compounded monthly in arrear at an annual rate of two percent (2%) above the prevailing, variable prime rate publicly quoted by ABSA Bank Limited from time to time.
Collection Notice means a notice, in substantially the form of Annex A to Exhibit VI, from the Agent to a Collection Bank or any similar or analogous notice from the Agent to a Collection Bank.
Exercise Notice has the meaning set forth in Section 3.2(1);
CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).
