Parent Body Agreement definition

Parent Body Agreement means the agreement of that name entered into on or about the date of this Contract between the Authority, the Contractor and the Parent Body Organisation having effect from 1 April 2008;

Examples of Parent Body Agreement in a sentence

  • In the event that the Authority is found to have acted reasonably, the Contractor’s costs relating to the reference of the dispute to the Dispute Resolution Procedure shall be Disallowable and the Authority shall claim its relevant costs from the Parent Body Organisation pursuant to the Parent Body Agreement.

  • Subject to Clause 8 (Intellectual Property), the Authority and the Contractor agree that in respect of any claim received from Third Parties they shall comply with the procedures in respect of such claims which they are obliged to follow pursuant to clause 8 of the Parent Body Agreement.

  • The Authority, the Contractor and the Parent Body Organisation have entered into the Parent Body Agreement on the date hereof.

  • Without prejudice to the provisions of clause 4 (Governance) of the Parent Body Agreement, and provided that the Authority has given its prior written consent pursuant to those provisions, any Nominated Staff may sit on the Contractor's board of directors.

  • References within the Parent Body Agreement to "Contract" or “Agreement” shall be interpreted as meaning the Parent Body Agreement as amended by this Deed.

  • Without prejudice to the provisions of clause 4 (Governance) of the Parent Body Agreement, and provided that the Authority has given its prior written consent pursuant to those provisions, Key Personnel may sit on the Contractor's board of directors.

  • Subject to the provisions in Clause 8 (Intellectual Property) of this Contract, all Legal Proceedings shall be handled in accordance with the Parent Body Agreement.

  • Matters set out in this Deed are subject to the terms of the Parent Body Agreement (as amended by this Deed).

  • Parent Agreement has the meaning given to it in Clause 12;

  • Assignment of Management Agreement means the Assignment of Management Agreement and Subordination of Management Fees, dated the same date as this Loan Agreement, among Borrower, Lender and Property Manager, including all schedules, riders, allonges and addenda, as such Assignment of Management Agreement may be amended from time to time, and any future Assignment of Management Agreement and Subordination of Management Fees executed in accordance with Section 6.09(d).

  • Services Agreement means an agreement entered into between a Utility and one or more Affiliates for the provision of Shared Services or For Profit Affiliate Services and shall provide for the following matters as appropriate in the circumstances:

  • Seller Ancillary Agreements means all agreements, instruments and documents being or to be executed and delivered by Seller under this Agreement or in connection herewith.

  • Joint Agreement means a type of Fund Use Agreement between the Consortium and the Fund Council that sets forth an umbrella set of terms and conditions that govern principally the submission and approval of CRP proposals and the transfer and use of funds from the CGIAR Fund for implementation of CRPs.

  • Marketing Agreement means an agreement entered into, with the director, by producers, distributors, processors, or handlers pursuant to this act and binding only on those signing the agreement.

  • Seller Agreements means those agreements between Seller and third parties, including Artists and/or PRO, wherein Seller is entitled to receive the Percentage Interest of all Assets.

  • Affiliation Agreement means any agreement between the Company or any of its Restricted Subsidiaries and a distributor pursuant to which such distributor agrees, among other things, to distribute and exhibit to its subscribers programming of the Company or such Restricted Subsidiary, as the case may be.

  • Equity Line Transaction Documents means this Agreement and the Registration Rights Agreement.

  • Sponsor Management Agreement means the Management Agreement between certain of the management companies associated with the Sponsors and the Borrower.

  • Company Ancillary Agreements means, collectively, each certificate to be delivered on behalf of the Company by an officer or officers of the Company at the Closing pursuant to Article VII and each agreement or document (other than this Agreement) that the Company is to enter into as a party thereto pursuant to this Agreement.

  • Acquisition Agreement means a letter of intent, agreement in principle, merger agreement, acquisition agreement, option agreement or other similar agreement.

  • Acquisition Agreement Representations means the representations and warranties with respect to the Companies made by the Seller in the Acquisition Agreement to the extent a breach of such representations and warranties is material to the interests of the Lenders, but only to the extent that the Borrower or its Affiliates have the right to terminate its or their obligations under the Acquisition Agreement (or decline to consummate the Rockwood Acquisition) as a result of a breach of such representations in the Acquisition Agreement.

  • Hotel Management Agreement means any hotel management agreement relating to the management and operation of the Real Property together with all supplements, amendments and modifications thereto.

  • Reseller Agreement means the separate agreement between Customer and Reseller regarding the Services. The Reseller Agreement is independent of and outside the scope of This Agreement.
