Parent Options definition

Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.

Parent Options means options to purchase shares of Parent Common Stock from Parent.

Parent Options means outstanding stock options granted by Parent pursuant to Parent's stock option plans.

• Each of the Parties shall establish an appropriate administration system to administer, in an orderly manner, (i) exercises of vested Post-Separation Parent Options and SpinCo Options, (ii) the vesting and forfeiture of unvested Post-Separation Parent Awards and SpinCo Awards, and (iii) the withholding and reporting requirements with respect to all awards.

• This Agreement shall apply to Stockholder solely in Stockholder’s capacity as a stockholder of Parent and/or holder of Parent Options and/or Parent Restricted Stock Units and not in Stockholder’s capacity as a director, officer or employee of Parent or any of its Subsidiaries or in Stockholder’s capacity as a trustee or fiduciary of any employee benefit plan or trust.

• Following the Closing, the Company shall notify each holder of the conversion of Company Options into Parent Options.

• From October 19, 2016 to the execution of this Agreement, Parent has not issued any Parent Common Stock except pursuant to the exercise of Parent Options and the settlement of Parent Common Stock Units outstanding on October 19, 2016 in accordance with their terms and, since October 19, 2016 to the date of this Agreement, Parent has not issued any Parent Options or Parent Common Stock Units.

• It is the intention of the Parties that any Company Options intended to be “incentive stock options” under Section 422 of the Code shall remain incentive stock options as Parent Options.

More Definitions of Parent Options

Parent Options shall have the meaning set forth in Section 4.6(a) hereof.

Parent Options means an option to purchase Parent Class A Common Stock under the Parent Equity Plan.

Parent Options has the meaning set forth in Section 3.3(b).

Parent Options is defined in Section 3.3(b) of this Agreement.

Parent Options means all options to purchase outstanding shares of Parent Common Stock that are outstanding and unexercised immediately prior to the Effective Time, including options granted under the Parent Stock Plans.

Parent Options has the meaning set forth in Section 6.2(a).

Parent Options means, at any time, compensatory options to acquire Parent Common Shares granted pursuant to the Parent Stock Plans or otherwise which are, at such time, outstanding and unexercised, whether or not vested.
