Replacement Options definition

Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;

Except as set out above, the terms and conditions of the Replacement Option, including the conditions to and manner of exercising, shall be the same as the Company Options so exchanged, and shall be governed by the terms of the Company Option Plan and any document evidencing Company Options shall thereafter evidence and be deemed to evidence such Replacement Options.
