Examples of Parent Payments in a sentence

  • Notwithstanding anything to the contrary in this Section 6.14 or otherwise in this Agreement, to the extent Parent has provided inaccurate information, or the Parent’s omission of information has resulted in inaccurate information, with respect to any Parent Payments, there shall be no breach of the covenant contained herein to the extent caused by such inaccurate or omitted information.

  • Notwithstanding anything to the contrary in this Section 6.08 or otherwise in this Agreement, to the extent the Parent has provided materially inaccurate information, or the Parent’s material omission of information has resulted in materially inaccurate information, with respect to any Parent Payments, there shall be no breach of the covenant contained herein or the representations set forth in Section 4.18(d)(iv) to the extent caused by such inaccurate or omitted information.

  • It shall not, and it shall not permit any Relevant Subsidiary to, make any Restricted Payment, except Restricted Payments made by a Relevant Subsidiary to the Borrower; provided, that each Obligor and each Relevant Subsidiary may make Ultimate Parent Payments if at the time of such payment, no Payment Restriction Default shall have occurred and be continuing.

  • Notwithstanding anything in this Agreement to the contrary, the rights accorded to each Parent Guarantor hereunder shall be in addition to, and not in lieu of, any rights that either Parent Guarantor may have to be reimbursed for all Parent Payments at common law, in equity, by separate agreement or otherwise; provided, that none of such rights may be exercised until the Obligations have been fully satisfied, and all such rights are subject to the terms and provisions of the Fundamental Documents.

  • In no event shall the Company or Parent be entitled to both (i) specific performance to cause the other party to consummate the Closing and (ii) the payment of any Parent Payment(s) or any Company Payment(s), as applicable.
