ParentCo Consolidated Balance Sheet definition

ParentCo Consolidated Balance Sheet shall have the meaning set forth in Section 2.5(a).
ParentCo Consolidated Balance Sheet means the unaudited consolidated balance sheet of ParentCo, dated as of the day immediately preceding the Distribution Date, prepared on a basis consistent with the basis on which the unaudited consolidated balance sheet included in ParentCo’s Quarterly Report on Form 10-Q for the three-month period ended March 31, 2014 and filed with the Securities and Exchange Commission on May 7, 2014 was prepared. As soon as reasonably practicable after the Effective Time, the Parties shall coordinate in the preparation of the ParentCo Consolidated Balance Sheet.
ParentCo Consolidated Balance Sheet means the unaudited consolidated balance sheet of ParentCo, dated as of the day immediately preceding the Distribution Date, prepared on a basis consistent with the basis on which the unaudited consolidated balance sheet included in ParentCo’s [·] Report on Form 10-[·] for the [·] period ended [·], 2013 and filed with the Securities and Exchange Commission on [·] was prepared. As soon as reasonably practicable after the Effective Time, the Parties shall coordinate in the preparation of the ParentCo Consolidated Balance Sheet.

  • The Board of Directors of ParentCo shall have approved the basis of the determination of the Selected Liabilities and categories of assets and liabilities included in both the Opening SpinCo Balance Sheet and the ParentCo Consolidated Balance Sheet.
