Participating Sponsor Investors means any Sponsor Investor(s) participating in the request for a Demand Registration, Shelf Offering, Piggyback Registration or Underwritten Block Trade.

  • The Company will not include in any Demand Registration any securities which are not Registrable Securities without the prior written consent of the Majority Participating Sponsor Investors.

  • The Participating Sponsor Investors shall collectively (by-majority-in-interest of Participating Sponsor Investors) select the legal counsel to the Company, the investment banker(s) and manager(s) to administer any underwritten offering in connection with such Demand Registration or Shelf Offering.

Related to Participating Sponsor Investors

  • Participating Shares means shares that entitle their holders to participate without limitation in distributions.

  • Participating Holders means all Holders of Registrable Securities which are proposed to be included in any offering of Registrable Securities pursuant to Section 2.1 or Section 2.2.

  • Participating Stockholder means a “Participating Stockholder” under the HBB Stockholders’ Agreement, HY Stockholders’ Agreement and NACCO Stockholders’ Agreement, to the extent the Partnership owns HBB Class B Shares, HY Class B Shares or NACCO Class B Shares.
