Examples of Parties’ Representatives in a sentence
District and Consultant are referred to in this Agreement individually as a “Party” and collectively as the “Parties.” The Parties’ Representatives set forth in this Section 1 shall be authorized to act on behalf of their respective Party and receive notices as required under this Agreement.
The Parties’ Representatives shall meet without prejudice within 5 Days’ of receipt of the Dispute Notice by the Responding Party and they shall attempt in good faith to resolve such Dispute.
The requesting Party shall communicate all change requests to the other Party in writing through the Parties’ Representatives indicated in Article 5.1 above.
Additionally, all copies of those e-mail messages shall be sent to the Parties’ Representatives.
Any issue of interpretation or implementation of this Contract that cannot be settled by the Parties’ Representatives indicated in Article 8.3 shall be referred to arbitration.
All payments must be delivered to the STATE or to PURCHASER respectively at the addresses set forth in the Section 16 (Notices and Parties’ Representatives).
In the event of any dispute arising under this agreement (a “Dispute”), within 10 Days following the delivered date of a written request by either Party (a “Dispute Notice”), (i) each Party shall appoint a representative (individually, a “Party Representative”, and together, the “Parties’ Representatives”), and (ii) the Parties’ Representatives shall meet, negotiate and attempt in good faith to resolve the Dispute quickly, informally and inexpensively.
Progress Meetings shall be attended by the Parties’ Representatives, as well as such other individuals as either Party may nominate from time to time.
If a Dispute arises between the Parties at any time, such Dispute shall first be referred to the Parties’ Representatives named in this Schedule.
Any Foreground Non-Patent IP developed jointly by the Parties’ Representatives shall be jointly owned by the Parties and shall be licensable by each Party without accounting to or permission from the other such Party.
