Partner Technology definition

Partner Technology means Partner Know-How and Partner Patent Rights.
Partner Technology or “Work Product” means the technology and Intellectual Property that the Partner uses to provide its Connector and the Solution, if applicable, including computer software programs, Partner’s Documentation, schematics, websites, networks, and equipment, as applicable.
Partner Technology means Partner’s interest in (a) the Partner Know-How, and (b) the Partner Patent Rights, and all other intellectual property rights in any of the foregoing.

Examples of Partner Technology in a sentence

  • Any work product created by the Avalara Professional Services (including any Inventions used or developed by Avalara or its subcontractors in connection with the Avalara Professional Services) will be Avalara’s Intellectual Property only to the extent that the work product does not incorporate (A) any Partner Intellectual Property or Partner Technology or (B) any works-made-for-hire that Avalara creates for Partner’s exclusive use.

  • Each Party shall indemnify and defend the other Party against any Losses resulting from a third-party claim (including any Customer claim) arising under such third party’s purchase or use of the Indemnitor’s products or services, except those claims covered by Sections 9(a)(i) or 9(b)(i) (e.g., as to Avalara, the Services and Avalara Technology; and, as to Partner, the Solution, Connector, and Partner Technology), including, for example, any claims based on warranty or product liability.

  • Nothing in the Agreement transfers or conveys to Avalara any ownership interest in the Partner Technology, Partner Confidential Information, or any Intellectual Property in the foregoing.

  • Partner retains all right, title, and interest in all Intellectual Property rights in the Partner Technology, Partner Confidential Information, and all enhancements or improvements to, or derivative works of, the foregoing.

  • Partner will indemnify and defend Avalara against any Losses arising from a third-party claim that (i) Avalara’s use of the Partner Technology in accordance with the Agreement causes an Infringement; (ii) results from Partner’s breach of the Agreement; or (iii) results from Partner’s violation of applicable law.


More Definitions of Partner Technology

Partner Technology means the software and hardware owned or licensed by you to which you grant Oracle or the Oracle Affiliates access as part of the Partner Cloud Services.
Partner Technology means software, methodologies, templates, business processes, documentation or other material authored, invented or otherwise created or licensed by the Partner (other than in respect of the Subscription Services under a Subscription Services Order Form);
Partner Technology means the Partner Data and Partner Patents and, for the purposes of the licenses under Sections 12.3(d)(vi), 12.3(e)(vi) and 12.3(f)(vi), Information (including Data) generated by or on behalf of Partner or any of its Sublicensees in the course of Development, registration, use, sale, offer for sale or import of Products in the Field in the Territory.
Partner Technology means any Technology that is licensed to INCY pursuant to the Partner License Agreement.
Partner Technology shall have the meaning set forth in Section 6.6(b) hereof.

  • Company Technology means all Technology used in or necessary for the conduct of the business of the Company or any of its Subsidiaries, or owned or held for use by the Company or any of its Subsidiaries.
