Partnership Amendment definition

Partnership Amendment means that certain Second Amendment to Second --------------------- Amended and Restated Agreement of Limited Partnership, dated of even date herewith, pursuant to which X.X. Xxxxxxx and M.A. Xxxxxxxxx, among others, are admitted as limited partners to Weeks.

Partnership Amendment shall have the meaning given such term in Section 4.6(a) hereof.

Partnership Amendment means an amendment to the Partnership Agreement among the General Partner and the limited partners of Freeport LNG in the form attached hereto as Exhibit F.

Examples of Partnership Amendment in a sentence

• The BRI Partnership Amendment in the form of Exhibit 3 attached hereto, duly executed and delivered by the Transferor Partners and a BRI Questionnaire, in the form of Exhibit 5 attached hereto, duly executed by each of the Transferor Partners.

• No waivers, consents or approvals of the holders of any class or series of common units or preferred units of the Operating Partnership need to be obtained in connection with the Partnership Amendment or the issuance or sale of the Units, except for execution and delivery of the Partnership Amendment by the Trust.

• The preferences, rights, voting powers, restrictions, limitations as to distributions, qualifications and terms and conditions of redemption and conversion of the Units are as set forth in the Partnership Amendment and none of such provisions is prohibited by, or conflicts with, the laws of the State of Delaware or any other provision of the Partnership Agreement.

• In its capacity as general partner of the Operating Partnership, the Trust will duly execute and deliver the Partnership Amendment prior to the Closing Time.

• The Partnership Amendment has been duly authorized by the Trust, in its capacity as general partner of the Operating Partnership.

More Definitions of Partnership Amendment

Partnership Amendment means the next sequentially numbered amendment to the Partnership Agreement as of the Closing Date in substantially the form attached hereto as Exhibit D, pursuant to which the OPUs are issued to Fifth Avenue in accordance with this Agreement and Fifth Avenue is admitted as a limited partner of BPLP.

Partnership Amendment means the First Amendment to Agreement of --------------------- Limited Partnership which will amend the Partnership Agreement so as to be substantially in the form of the partnership agreement of CapStar Management Company L.P.
