If, at any time during the Royalty Term, the manufacture or sale of a Licensed Product in a particular country would not infringe a Valid Claim of an LNP Technology Patent, then the Royalty rate used to calculate royalty payments on Net Sales of such Licensed Product in such country shall be the Minimum Royalty (“Know-How Royalties,” and together with the Patent Royalties, the “Royalties”).
If the first commercial sale of a Licensed Product in a country occurs prior to the issuance of a Valid Claim covering such Licensed Product in such country, the Patent Royalties will be paid from and after the issuance of such Valid Claim in such country.
