Patronage Certificates means patronage certificates and/or capital allocation of any of (a) the Rural Utilities Service, (b) CoBank or (c)
Patronage Certificates shall have the meaning set forth in the Settlement Agreement.

  • On or before the Effective Date, the Pegasus Debtors shall deliver the Patronage Certificates to NRTC to enable NRTC to place such a legend on them.

  • NRTC shall provide prompt written notice to the record holders of the Patronage Certificates of any distributions, redemptions or other payments made with respect to any patronage certificates.

  • On the Effective Date, NRTC shall deliver to the Pegasus Debtors: (i) all previously unissued Patronage Certificates for 2003, and (ii) interim certificates for the period from January 1, 2004 through June 1, 2004, and NRTC shall replace such interim certificates with Patronage Certificates for 2004 when NRTC makes its normal distribution of patronage certificates for 2004 to all of its patrons.

  • Any Pegasus Successor (and any permitted transferee pursuant to Section 4.c below) agrees that notwithstanding anything to the contrary in this Agreement or applicable law, it shall have no right to receive any distribution relating to the Patronage Certificates other than in connection with a Trigger Event.

  • Notwithstanding anything to the contrary in this Agreement or applicable law, the Pegasus Successor (and any permitted transferee pursuant to Section 4.c below) shall have no right to receive any distribution relating to the Patronage Certificates other than in connection with a Trigger Event.

  • NRTC agrees that the Pegasus Successor (and any permitted transferee pursuant to Section 4.c below) shall have the right to hold the Patronage Certificates and receive any distributions relating to the Patronage Certificates that may be made in connection with any Trigger Event (as defined below).

  • If the Creditors Committee or Liquidating Trustee, as applicable, determines that it is appropriate for the Reorganized Debtors to transfer to the Liquidating Trust at a date subsequent to the Effective Date any of the Remaining Assets, including, but not limited to, the Patronage Certificates, or the stock of any of the Reorganized Debtors, the Reorganized Debtors shall make such transfer at such time and such remaining assets shall become Liquidating Trust Assets.

  • A "Trigger Event" is, and shall be limited to, any distribution (i) that NRTC's Board of Directors, in its sole discretion, may authorize, pursuant to NRTC's bylaws, in connection with the retirement, repayment or rotation generally of patronage capital certificates of the same class as the Patronage Certificates, or (ii) that results from the actual dissolution of NRTC (individually, a "Trigger Event" and, collectively, the "Trigger Events").

  • The Pegasus Debtors, the Committee, DIRECTV and any Pegasus Successor (or permitted transferee pursuant to Section 4.c above) further agree that the patronage amounts reflected in the Patronage Certificates are not required to be paid unless and until a Trigger Event occurs.

Patronage Certificates means patronage certificates and/or capital allocation of any of (a) the Rural Utilities Service, (b) CoBank or (c) RTFC. “PBGC” shall mean the Pension Benefit Guaranty Corporation referred to and defined in ERISA and any successor entity performing similar functions. “Permitted Acquisition” shall have the meaning assigned to such term in Section 6.04(g).

  • Class AA Certificates means Pass Through Certificates issued by the Class AA Pass Through Trust.

  • Mezzanine Certificates Collectively, the Class M-1 Certificates, the Class M-2 Certificates, the Class M-3 Certificates, the Class M-4 Certificates, the Class M-5 Certificates, the Class M-6 Certificates, the Class M-7 Certificates, the Class M-8 Certificates, the Class M-9 Certificates and the Class M-10 Certificates.

  • Class C Certificates Any one of the Class C Certificates executed by the Trustee, and authenticated and delivered by the Certificate Registrar, substantially in the form annexed hereto as Exhibit A-18, representing the right to distributions as set forth herein and therein and evidencing a regular interest in REMIC 4.

  • Class A Certificates The Class A-1, Class A-2, Class A-3 and Class A-4 Certificates.

  • Class B Certificates The Class B-1, Class B-2, Class B-3, Class B-4, Class B-5 and Class B-6 Certificates.

  • Class P Certificates All Certificates bearing the class designation of "Class P".

  • Group I Certificates The Class A-1 Certificates.

  • Class B-6 Certificates The Certificates designated as “Class B-6” on the face thereof in substantially the form attached hereto as Exhibit A.

  • Group 1 Certificates As specified in the Preliminary Statement.

  • Group 2 Certificates As specified in the Preliminary Statement.

  • Group III Certificates The Group III-A Certificates.

  • Class X Certificates All Certificates bearing the class designation of "Class X".

  • Class B-5 Certificates The Certificates designated as “Class B-5” on the face thereof in substantially the form attached hereto as Exhibit A.

  • Distributable Certificate Interest means, with respect to any Class of REMIC III Regular Certificates for any Distribution Date, the sum of (A) Accrued Certificate Interest in respect of such Class for such Distribution Date, reduced (to not less than zero) by (1) any Net Aggregate Prepayment Interest Shortfall allocated on such Distribution Date to such Class pursuant to Section 6.7, (2) with respect to each Class of the Class B, Class C, Class D and Class E Certificates, any Trust Advisor Expenses allocated on such Distribution Date to such Class in reduction of the Distributable Certificate Interest thereon pursuant to Section 6.11, and (3) with respect to each Class of the Class C, Class D and Class E Certificates, any amounts reimbursable in accordance with Section 6.11(c), out of amounts otherwise distributable as interest in respect of such Class, to any more senior Class of Certificates on such Distribution Date in respect of Trust Advisor Expenses allocated on prior Distribution Dates to such more senior Class of Certificates pursuant to Section 6.11, plus (B) if such Distribution Date is subsequent to the initial Distribution Date, any Unpaid Interest in respect of such Class for such Distribution Date, plus (C) in the case of a Class of Principal Balance Certificates, if the Certificate Balances of such Principal Balance Certificates are increased on such Distribution Date in accordance with clause (b) of the definition of “Certificate Balance”, the total amount of interest at the applicable Pass-Through Rate that would have accrued and been distributable with respect to the amount by which the related Aggregate Certificate Balance was so increased, if such Aggregate Certificate Balance had not been reduced by that amount in connection with the allocation of Collateral Support Deficits in the first place and assuming that the reinstatement of Certificate Balance is in reverse chronological order of the original reductions therein, plus (D) in the case of each Class of the Class B, Class C, Class D and Class E Certificates, the amount of any Actual Recoveries of Trust Advisor Expenses allocated in accordance with Section 6.11(c) to such Class of Certificates to increase the Distributable Certificate Interest thereof for such Distribution Date, plus (E) in the case of each Class of the Class B, Class C and Class D Certificates, any amounts reimbursed in accordance with Section 6.11(c) to such Class of Certificates by any more junior Class of Certificates on such Distribution Date in respect of Trust Advisor Expenses allocated on prior Distribution Dates to the subject Class of Certificates pursuant to Section 6.11. Any increase in the Distributable Certificate Interest with respect to any Class of Principal Balance Certificates for any Distribution Date pursuant to clause (C) of the prior sentence shall result in a corresponding reduction of interest payable on unreimbursed allocations of Collateral Support Deficits in respect of such Class of Principal Balance Certificates.

  • Exchange Certificates Means the pass through certificates substantially in the form of Exhibit A hereto issued in exchange for the Initial Certificates pursuant to the Registration Rights Agreement and authenticated hereunder.

  • Class B-4 Certificates The Certificates designated as “Class B-4” on the face thereof in substantially the form attached hereto as Exhibit A.

  • Subordinate Certificates As specified in the Preliminary Statement.
