Payment Address and Effect of Non-Payment. All non-electronic payments required by this Settlement Agreement shall be delivered to the following address: Chanler, LLC Attn: Proposition 65 Controller 00 Xxxxxxxxxxx Xxxx Xxxx Xxx Xxxxxx, XX 00000 Should the payments due under Section 3 not clear within ten calendar days from the Payment Dates, then Xxxx shall notify the Settling Entity in writing that the payment has not cleared. Upon receipt of written notice, the Settling Entity shall have five calendar days to cause the payment to be cleared. If after written notice, the payment does not clear in accordance with the above terms, then Xxxx may provide written notice to the Settling Entity declaring this Settlement Agreement null and void and Xxxx and his counsel shall return any previous payment(s) to the Settling Entity within five calendar days of the written notice.

  • Notification of Non-payment The Global Agent shall forthwith notify Freddie Mac by facsimile, e-mail or other rapid means of communication if it has not received the full amount for any payment due in respect of the Notes on the date such payment is due. The Global Agent shall have no liability, responsibility, duty or obligation to any Holder or beneficial owner of Notes to take any action against Issuer in the event that Issuer fails to make available funds sufficient to pay amounts due and payable and owing to any Holder on any Payment Date.
