Covenant Relief Period means the period commencing on the First Amendment Effective Date and ending on the earlier of (i) the date on which Administrative Agent receives a Covenant Relief Period Termination Notice from the Company (this clause (i), an “Early Covenant Relief Termination”) and (ii) the day immediately following the date on which a Compliance Certificate is delivered pursuant to Section 7.02 for the Fiscal Quarter ending June 30, 2021 (such earlier date, the “Covenant Relief Period Termination Date”).
Relief Event means any of the following events or circumstances if and to the extent it interferes adversely with, or causes a failure of, the carrying out of the Design, the Construction or the Services or causes an Unavailability Event:
Eviction Relief Period means the term of this Agreement.
Excess Cash Flow Application Date as defined in Section 2.12(c).
Excess Cash Flow Payment Date means the date occurring ten (10) Business Days after the date on which the Borrower’s (or Parent Company’s) annual audited financial statements are required to be delivered pursuant to Section 9.01(b) (or Section 9.01(c)) (commencing with respect to the fiscal year ending December 31, 2021).
