  • Covenant Relief Period means the period commencing on the First Amendment Effective Date and ending on the earlier of (i) the date on which Administrative Agent receives a Covenant Relief Period Termination Notice from the Company (this clause (i), an “Early Covenant Relief Termination”) and (ii) the day immediately following the date on which a Compliance Certificate is delivered pursuant to Section 7.02 for the Fiscal Quarter ending June 30, 2021 (such earlier date, the “Covenant Relief Period Termination Date”).

  • Relief Event means any of the following events or circumstances if and to the extent it interferes adversely with, or causes a failure of, the carrying out of the Design, the Construction or the Services or causes an Unavailability Event:
