PAYMENTS TO BE FREE AND CLEAR. All sums payable by the Company under this Deed shall be paid in full without set-off or counterclaim unless prohibited by law.

PAYMENTS TO BE FREE AND CLEAR. All amounts payable by the Borrower under this Agreement shall be paid in full without right of retention or other restrictions and free and clear of, and save to the extent required by law, without any deduction or withholding for or on account of, any taxes or any charges or otherwise.

  • Remittance As defined in Section 7.02(b) hereof.

  • Payments refers to anything of value, including cash, gifts, travel expenses, entertainment, offers of employment, provision of free services, and business meals. It may also include event sponsorships, consultant contracts, fellowship support, job offers, and charitable contributions made at the request of, or for the benefit of, an individual, his or her family, or other relations, even if made to a legitimate charity.

  • Permitted Payments to Parent means, without duplication as to amounts:

  • Between merchants means in any transaction with respect to which both parties are chargeable with the knowledge or skill of merchants.

  • Virtual Collocation shall have the meaning set forth in Sections 8.1.1.1 and 8.

  • CATS+ TORFP means the Task Order Request for Proposals # R62B3400011, dated MONTH DAY, YEAR, including any addenda.

  • Rights to Payment means all Borrower’s accounts, instruments, contract rights, documents, chattel paper and all other rights to payment, including, without limitation, the Accounts, all negotiable certificates of deposit and all rights to payment under any Patent License, any Trademark License, or any commercial or standby letter of credit.

  • Bidders from a country which shares a land border with India for the purpose of this Order means:

  • Periodic Billing Requirement means, for any Remittance Period, the aggregate amount of Charges calculated by the Servicer as necessary to be billed during such period in order to collect the Periodic Payment Requirement on a timely basis.

  • Remittance Report A report prepared by the Master Servicer and delivered to the Trustee and the NIM Insurer in accordance with Section 4.04.

  • Delivery into consignees store or to his site means delivered and unloaded in the specified store or depot or on the specified site in compliance with the conditions of the contract or order, the supplier bearing all risks and charges involved until the supplies are so delivered and a valid receipt is obtained.

  • Remittance Information means the information that must specify the Billing Account Numbers (BANs) paid; invoices paid and the amount to be applied to each BAN and invoice.

  • Interim Payment has the meaning specified in Section 10.1.

  • Virtual Card means a non-physical Card, the use of which is limited to online, phone or mail order purchases and which cannot be used to make a cash withdrawal from an ATM or bank. Any reference to cash withdrawals or to a Physical Card in this Agreement excludes the Virtual Card.

  • Delivery into consignee s store or to his site’ means delivered and unloaded in the specified store or depot or on the specified site in compliance with the conditions of the contract or order, the supplier bearing all risks and charges involved until the supplies are so delivered and a valid receipt is obtained.

  • Servicer Remittance Report As defined in Section 4.03(d).

  • Location Routing Number or "LRN" means a unique ten- (10)-digit number assigned to a Central Office Switch in a defined geographic area for call routing purposes. This ten- (10)-digit number serves as a network address and the routing information is stored in a database. Switches routing calls to subscribers whose telephone numbers are in portable NXXs perform a database query to obtain the Location Routing Number that corresponds with the Switch serving the dialed telephone number. Based on the Location Routing Number, the querying Carrier then routes the call to the Switch serving the ported number. The term "LRN" may also be used to refer to a method of LNP. "Long Distance Service" (see "Interexchange Service").

  • deposits townsite means the townsite to be established on or near the mining areas pursuant to this Agreement;

  • Xxxxxxxx-Xxxxx Certification As defined in Section 11.05.

  • Local Exchange Routing Guide (LERG) is a Telcordia Reference document used by Telecommunications Carriers to identify NPA-NXX routing and homing information as well as Network element and equipment designations.

  • Instructions to Consultants (Section 2 of the RFP) means the document which provides shortlisted Consultants with all information needed to prepare their Proposals.

  • Location Routing Number (LRN means the ten (10) digit number that is assigned to the network switching elements (Central Office–Host and Remotes as required) for the routing of calls in the network. The first six (6) digits of the LRN will be one of the assigned NPA NXX of the switching element. The purpose and functionality of the last four (4) digits of the LRN have not yet been defined but are passed across the network to the terminating switch.

  • Sxxxxxxx-Xxxxx Certification As defined in Section 11.09.

  • clear height ’, in relation to a sign, means the vertical distance between the lowest edge of the sign and the natural level of the surrounding ground, footway or roadway immediately below the sign;

  • FILOT Payments means the amount paid or to be paid in lieu of ad valorem property taxes as provided herein.
