PIPE Documents definition

PIPE Documents is defined in Section 2.5.
PIPE Documents has the meaning set forth in Section 9.9(b).
PIPE Documents means the Securities Purchase Agreement (Common Shares and Warrants), dated on or about the date hereof, between MLI and the buyers party thereto, and all agreements, documents and instruments executed and/or delivered in connection therewith, as all of the foregoing now exist or may hereafter be amended, modified, supplemented, extended, renewed, restated or replaced.

  • They identify invalid XML formatting of PIPE Documents and good and bad formatting of PIP transactions.

  • Functional Acknowledgements are used to acknowledge the delivery of PIPE Documents.

  • No event or circumstance has occurred which, with or without notice, lapse of time or both, could constitute a default on the part of Parent or, to the knowledge of Parent, any of the other parties thereto under any of the PIPE Documents, and Parent and Merger Sub have no reason to believe that Parent will be unable to satisfy on a timely basis any term or condition of closing to be satisfied by Parent contained in any of the PIPE Documents.

  • None of the PIPE Documents have been withdrawn, rescinded or terminated, or otherwise amended or modified in any respect (and no such amendment or modification is contemplated), and Parent and Merger Subs have no reason to believe that any portion of the PIPE Investment contemplated by any of the PIPE Documents will not be available as of the Closing.

  • Purchaser shall use its commercially reasonable best efforts to take, or cause to be taken, all actions and to do, or cause to be done, all things necessary, proper or advisable to arrange and obtain the PIPE Investment on the terms set forth in the PIPE Documents.


More Definitions of PIPE Documents

PIPE Documents means subscription agreements or securities purchase agreements to be entered among the SPAC, the Company or its Affiliates and certain investors in connection with the PIPE Investment, together with all exhibits (including documents attached as exhibits), schedules, annexes and other attachments thereto, and any related agreements.
PIPE Documents has the meaning assigned thereto in Section 10.18.
PIPE Documents has the meaning specified in the Recitals.
PIPE Documents in the Loan Agreement is hereby deleted in its entirety and the following substituted therefor:
PIPE Documents means the SPA, the Registration Rights Agreement, the Warrants, the Support Agreement (each as defined in the SPA), the PIPE Certificate, and each of the other agreements or documents entered into in connection with the SPA, in each case as in effect on the Second Amendment Effective Date and as amended, restated, supplemented or otherwise modified from time to time in a manner permitted hereby.
PIPE Documents means all subscription, securities purchase or similar agreements providing for the sale of the securities to the PIPE Investors in the PIPE, together with all other agreements and documents attached to, referenced in or otherwise executed or delivered in connection with such agreements or the transactions contemplated thereby, including the governing instrument of any security to be sold in the PIPE that is exercisable or exchangeable for, or convertible into, Company Class A Ordinary Shares.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Financing Agreements means, collectively, this Agreement and all notes, guarantees, security agreements and other agreements, documents and instruments now or at any time hereafter executed and/or delivered by Borrower or any Obligor in connection with this Agreement, as the same now exist or may hereafter be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Construction Documents means the plans, specifications, approved change orders, revisions, addenda and other information approved by the City, which set forth in detail the Work to be performed for a construction Project.

  • Facility Documents means this Agreement, the Notes, the Account Control Agreement, the Sale Agreement, the Administrative Agent Fee Letter, the Lender Fee Letter, the Collateral Administration and Agency Fee Letter and any other security agreements and other instruments entered into or delivered by or on behalf of the Borrower in favor of the Collateral Agent, the Administrative Agent or any Lender from time to time pursuant to this Agreement.

  • Related Agreements shall have the meaning specified in the recitals to the Administration Agreement.

  • Relevant Documents has the meaning specified in Section 11.02.

  • Bond Documents means the Bonds, the Indenture, the Loan Agreement, the Remarketing Agreement, the Remarketing Circular, and all amendments and supplements thereto.

  • Bidding Documents means the set of Bidding Documents that preceded the placement of the Contract of which these GCC form a part, which were sold or issued by the Purchaser to potential Bidders, and in which the specifications, terms and conditions of the proposed procurement were prescribed.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Related Documents mean all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, security deeds, collateral mortgages, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Loan.
