The Purchaser intends to sell the Non-Registered Certificates to WFS, CGMI, JPMS, GS&Co., Academy, Drexel and ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ (collectively in such capacities, the “Initial Purchasers”) pursuant to a certificate purchase agreement, dated as of the date hereof (the “Certificate Purchase Agreement”), among the Purchaser, ▇▇▇▇▇ Fargo Bank, National Association and the Initial Purchasers.
