PNC Assignment definition

PNC Assignment means that certain Assignment, Assumption and Resignation Agreement dated as of September 28, 2016, by and among, PNC Bank, National Association, as assignor, Cooperatieve Rabobank U.A., New York Branch, as assignee, the SPV, the GP Originator and the Servicer.

• This Agreement amends and restates in its entirety, as of the date hereof, the Amended and Restated Transfer and Administration Agreement, dated as of September 30, 2013 (as amended, restated, supplemented or otherwise modified prior to the date hereof, the “Existing Agreement”), among the SPV, the Servicer, the Managing Agents, Investors, the Administrators from time to time party thereto and the Agent (as successor by assignment to PNC Bank, National Association pursuant to the PNC Assignment).
