Portfolio Purchase definition

Portfolio Purchase means a purchase of the Mortgages by either the Portfolio Option Holder or the Third Party Purchaser pursuant to the exercise of the Portfolio Option.
Portfolio Purchase means the purchase of certain Non-FFELP Student Loans from time to time pursuant to that certain Purchase Agreement, dated as of December 14, 2020 (as amended, restated, supplemented or otherwise modified from time to time), between the Portfolio JV, as purchaser and Xxxxx Fargo Bank, National Association, as seller (with certain specified Non-FFELP Student Loans being initially purchased thereunder by a trustee on behalf of National Education Loan Network, Inc., prior to the ultimate transfer to the Portfolio JV or to a designee or assignee thereof).
Portfolio Purchase means, as to either Borrower, any purchase or ------------------ acquisition by such Borrower, whether for cash, for stock, pursuant to financing or otherwise, of any assets, business, Capital Stock, obligations or securities of, any Person; or other interest in or capital contribution to, any Person that results in, or would result in (after taking into account the applicable Portfolio Purchase), such Borrower having any additional Loans.

  • If the Company so elects to redeem the Senior Notes, the Company shall appoint the Quotation Agent to assist the Company in determining the Treasury Portfolio Purchase Price.

  • Subject to the provisions of the Purchase Contract and Pledge Agreement, upon the occurrence of a Successful Optional Remarketing and receipt in the Collateral Account of the proceeds thereof, the Collateral Agent shall instruct the Securities Intermediary to apply an amount equal to the Treasury Portfolio Purchase Price to purchase the Treasury Portfolio.

  • Any proceeds in excess of those required to pay the Treasury Portfolio Purchase Price and the Remarketing Fee will be remitted to the Agent for a prompt payment to the Holders of the related Corporate Units to be made on a pro rata basis.

Portfolio Purchase means an acquisition by FCA of a portfolio of Receivables.
Portfolio Purchase means any purchase or acquisition, whether for cash, for stock, pursuant to financing otherwise, of any assets, business, Capital Stock, obligations or securities of, any Person; or other interest in or capital contribution to, any Person that results in, or would result in (after taking into account the applicable Portfolio Purchase), the Company having any additional Loans.
Portfolio Purchase means with respect to any fiscal year of the ------------------ Borrower, an Investment which, in any one instance, or with respect to all such purchases in the aggregate, results or would result in the Borrower acquiring Loans, whether for cash, pursuant to financing or otherwise, with an aggregate outstanding principal balance of $1,000,000 or more in such fiscal year.
Portfolio Purchase contained in Section 1.1 of the Agreement is amended to read in its entirety as follows:
Portfolio Purchase means a transaction in which KOP or any Affiliate (other than a Keystone Excluded Affiliate) acquires one or more Opportunity Properties as part of an acquisition of one or more other properties.

  • Micro-purchase means a purchase of supplies or services, the aggregate amount of which does not exceed the micro-purchase threshold. Micro-purchases comprise a subset of a district's small purchases as defined in 2 C.F.R. 200.320.
