Position incumbent assists in the development of new automated approaches to current systems and/or procedures; prepares systems specifications and technical documentation for applications; develops reports, maintains data bases, provides operational support and assists user personnel in utilizing automated systems and applications.
Incumbent has the meaning given in clause 5.3;
Tenure means a faculty appointment for an indefinite period of time which may be revoked only for adequate cause and by due process.
Continuing Director means, with respect to any Person as of any date of determination, any member of the board of directors of such Person who (a) was a member of such board of directors on the Closing Date, or (b) was nominated for election or elected to such board of directors with the approval of a majority of the Continuing Directors who were members of such board at the time of such nomination or election.
Incumbent Contractor means any contractor providing any service that constitutes or that will constitute part of the Services immediately before the Transfer Date.
Unaffiliated Director means, for purposes of this Code, a director or honorary director of the Fund who is not a director, officer or employee of the Adviser or an affiliate thereof.
Incumbent Director means a director who either (i) is a member of the Board as of the Effective Date or (ii) is elected, or nominated for election, to the Board with the affirmative votes of at least a majority of the Incumbent Directors at the time of such election or nomination (but excluding a director who was elected or nominated in connection with an actual or threatened proxy contest relating to the election of directors of the Company).
Position holder means a person who holds an inventory position of motor fuel in a terminal, as
Designated Director means a person designated by the RE to ensure overall compliance with the obligations imposed under chapter IV of the PML Act and the Rules and shall include:
Ineligible position means any position which does not
Resident Personnel means such persons who at the time of being so hired had their domicile inside India;
New Director means an individual whose election by the Board or nomination for election by the Company’s stockholders was approved by a vote of at least two-thirds of the directors then still in office who either were directors at the Date of Grant or whose election or nomination for election was previously so approved or recommended. However, “New Director” shall not include a director whose initial assumption of office is in connection with an actual or threatened election contest, including but not limited to a consent solicitation relating to the election of directors of the Company.
Continuing Directors means, as of any date of determination, any member of the Board of Directors of the Company who (i) was a member of such Board of Directors on the date of this Indenture or (ii) was nominated for election or elected to such Board of Directors with the approval of a majority of the Continuing Directors who were members of such Board at the time of such nomination or election.
Covered position means a position in which the employee must be a member of the retirement
Eligible position or "full-time job" means a full-time position
Drug-dependent person means a person who is using a
Nominate “Nomination,” or “Nominated” shall mean an offer by Shipper to Carrier of a stated quantity of Product for transportation, from the specified Origin to the specified Destination pursuant to the terms of this Tariff (and/or any tariffs making reference hereto and incorporating this Tariff by reference therein).
Director means a member of the Board.
Executive Office means such office of the Company as the Directors may from time to time determine to be the principal office of the Company.
Appointed Director means a person appointed in accordance with these bylaws as an appointed director or appointed as a replacement director for an appointed director;
Elected Director means a person elected as an elected director in accordance with these bylaws or elected or appointed as a replacement director for an elected director;
Permanent part-time employee means a person who is appointed to work hours that are less in number than a full-time employee and who is appointed as such in accordance with section 37(3)(a) of the State Service Act 2000.
Member Director means a Director elected or appointed pursuant to section 8(2)(a) of the Act and Section 5.02;
Nominated Company means a company selected by the Lenders’ Representative and proposed to the Authority for substituting the Concessionaire in accordance with the provisions of the Substitution Agreement;
shadow director means, in relation to a company, any person in accordance with whose directions or instructions the directors of the company are accustomed to act, but the person is not deemed to be a shadow director by reason only that the directors act on advice given by that person in a professional capacity; and
Designator means a competent parent or legal custodian of a
Investor Nominee means a person designated for election to the Board of Directors by the Investor pursuant to the Investment Agreement.
