Prepayment Reduction Amount definition

Prepayment Reduction Amount with respect to any Specified Prepayment/Reduction to be made on any date, the amount required to be applied toward prepayment of the Term Loans and reduction of the Revolving Credit Commitments on such date in accordance with the provisions of subsection 2.18 and the definition of the term Pro Rata Payment Offer.
