Pricing Review definition

Pricing Review has the meaning set out in Section 2.6(b).
Pricing Review shall have the meaning given to it in Section 2.3(c) of -------------- -------------- the Engine Supply Agreement.
Pricing Review shall consist solely of a review of each written agreement between the Contractor or an Affiliate of Contractor and a customer for the provision of a User Service of the Contractor or an Affiliate of Contractor (such agreements, the “User Service Contracts”) to determine whether both the Direct Test and the Indirect Test, as defined below in the following paragraphs, have been satisfied with respect to each User Service of the Contractor and each User Service of each Affiliate of the Contractor in only the following circumstances (referred to individually as a “Pricing Requirement,” or collectively as the “Pricing Requirements”):

Examples of Pricing Review in a sentence

  • Rabobank will not charge a review fee in relation to a Loan Conditions Review or Loan Pricing Review.

  • After the twelve (12)-month anniversary of the Effective Date, the parties shall undertake an annual pricing review based on the Pricing Review Criteria beginning on the first business day that is no more than thirty (30) days before the end of each subsequent twelve (12)-month anniversary of the Effective Date (“Annual Pricing Review”).

  • Any Pricing Adjustments agreed to by the Parties in a Quarterly Pricing Review or an Annual Pricing Review shall become effective when agreed to in writing in an amendment to Exhibit C in accordance with Section 10.8 of this Agreement.

  • However, the Account Owner must reimburse Rabobank any external costs or expenses (e.g. legal and valuation fees, Government Charges) incurred by Rabobank in connection with a Loan Conditions Review or Loan Pricing Review.

  • At a Loan Pricing Review, Rabobank may review the Margin, Undrawn Loan Fee and Bank Guarantee Fee conforming with Rabobank’s policies relating to lending.

  • If Rabobank varies the terms and conditions applying to the Facility pursuant to a Loan Conditions Review, or if Rabobank varies the Margin, Undrawn Loan Fee or Bank Guarantee Fee pursuant to a Loan Pricing Review, then Rabobank will provide the Account Owner with a notice specifying the variations, which will come into effect one month from the date of the Loan Conditions Review or the Loan Pricing Review.

  • The inventory Buy-Up/Buy-Down reconciliation between Customer and Flextronics shall be completed after the bi annual cost pricing review as set forth in Section 13.2 (Pricing Review Methodology) has been finalized.

  • Any Initiating Library may initiate an arbitration pursuant to this Paragraph within ninety (90) days of receipt of a particular Pricing Review Report with respect to relevant Reviewable Subscriptions.

  • Consideration should be given to inclusion of paragraphs explaining, (where relevant); Additional Costs, Types of Payment, Pricing Review Process, Service Credits/KPIs (text should be included at B3.8 and detailed information as an Annex to this Schedule), Outcome Payments – Welfare to Employment Contracts, Final Claim].

  • No Initiating Library may initiate an additional, separate arbitration based on the same Pricing Review Report.


More Definitions of Pricing Review

Pricing Review. In this clause CPI means the weighted average of the All Groups Price Index Numbers for the eight capital cities of the states and territories of Australia published from time to time by the Australian Bureau of Statistics or, if that index number is no longer published, its substitute as a cumulative indicator of the inflation rate in Australia. archTIS may increase the Fees (exclusive of GST) on each anniversary of the term of this Agreement to an amount calculated by the percentage increase of CPI since the previous anniversary of the term of the Agreement.

Related to Pricing Review

  • Pricing Data means the document that contains the Bill of Quantities and provides the criteria and assumptions, which it will be assumed in the Contract were taken into account by the Service Provider when developing his prices;

  • Periodic Review means a review conducted by Ofwat for the purpose of determining one or more Price Controls in accordance with Part III of Condition B, but so that references in Part IV of Condition B to a Periodic Review shall exclude any review carried out under paragraph 11 of that Condition and shall include the determination by the Competition and Markets Authority of the relevant questions or, as the case may be, the disputed determination referred to it under paragraph 16 of Condition B;

  • Pricing Rate the per annum percentage rate for determination of the Price Differential;

  • Pricing Rate Period means, (a) in the case of the first Pricing Rate Period with respect to any Transaction, the period commencing on and including the Purchase Date for such Transaction and ending on and excluding the following Remittance Date, and (b) in the case of any subsequent Pricing Rate Period, the period commencing on and including such Remittance Date and ending on and excluding the following Remittance Date; provided, however, that in no event shall any Pricing Rate Period end subsequent to the Repurchase Date.

  • Benchmarking Report means the report produced by the Supplier following the Benchmark Review and as further described in this Framework Schedule 7;
