Prior Letters of Credit definition

Prior Letters of Credit means letters of credit outstanding on the date of the Original Loan Agreement issued by the Issuing Bank and listed on Exhibit 1.1B attached hereto and made a part hereof.
Prior Letters of Credit means, collectively, (i) that certain Letter of Credit No. 3020196 in the original face amount of approximately $470,400.00, issued by Bank of America, N.A. on or about November 2, 1999 for the account of Company and for the benefit of 444 Madison LLC, (ii) that certain Letter of Credit No. 3033942 in the original face amount of approximately 3,257,059.50 British Pounds, issued by Bank of America, N.A. on or about January 9, 2001 for the account of Company and for the benefit of Bank of America London, and (iii) that certain Letter of Credit No. 3041996 in the original face amount of approximately 125,000.00 British Pounds, issued by Bank of America, N.A. on or about November 9, 2001 for the account of Company and for the benefit of Bank of America London.
Prior Letters of Credit means those letters of credit issued by Bank of America for BearingPoint’s account that are outstanding on the Closing Date, each of which is identified on Schedule 1.01(a) hereto.

Examples of Prior Letters of Credit in a sentence

  • The Borrower hereby represents and warrants that such Prior Letters of Credit will comply with the limitations set forth in Sections 3.01(a) and 3.01(b) hereof as of the Closing Date as if issued hereunder on the Closing Date.

  • Pursuant to the terms of the applicable Indentures, the Bond Trustee drew upon the related Prior Letters of Credit and applied the proceeds from such Prior Letter of Credit draws to pay the redemption price of the Prior Bonds.

  • Additionally, the occurrence of a breach or non-fulfillment of the terms and provisions of the Note, the Prior Letters of Credit, the Letters of Credit, the Credit Agreement, or any of the other Loan Documents, if any such breach or non-fulfillment is not cured in accordance with the respective terms thereof, shall constitute an "Event of Default" under this Agreement.
