• To the extent that any inconsistencies or conflicts exist among the terms of this Agreement and the Prior MSA, the order of governance shall be (1) this Agreement and (2) the Prior MSA.

• LONZA shall initially conduct the activities to be performed pursuant to Article 3 above at LONZA’s Walkersville Facility, and with respect to such activities begun under the Prior MSA LONZA agrees to continue and assume the performance of such activities in accordance with the terms and conditions of this Agreement.

• Without limiting the foregoing, the parties expressly acknowledge that this Agreement, together with the Exhibits and Schedules hereto, is intended to amend and restate the Prior MSA Agreement in its entirety, and upon the effectiveness of this Agreement, the Prior MSA Agreement shall be deemed to have been superseded and replaced in its entirety by this Agreement.
