Prior Securities definition

Prior Securities means, collectively, the common shares, warrants, broker warrants and stock options of RM prior to the Restructuring Transaction;
Prior Securities include the $530,000 face amount redeemable convertible subordinated debenture, $4.5 million common stock purchase warrant, and all shares of Preferred previously issued in connection with the Prior Agreements.
Prior Securities means all securities of the Company which, as of April 27, 1999, were issued and outstanding and which have "piggyback" registration rights.

Prior Securities means the Company’s outstanding 10% Original Issue Discount Senior Secured Convertible Promissory Notes in the total combined principal amount of $2,777,778 (not including accrued and unpaid interest), shares of Common Stock or Common Stock Equivalents issued or issuable pursuant to the Consulting Agreement entered into by the Company on or about December 16, 2022, and all shares of Common Stock issued or issuable pursuant to any of the foregoing.
Prior Securities means, collectively, the First Note, the Second Note, the First Warrants and the Second Warrants.
