Prior Settling State means Florida, Louisiana, Rhode Island, Texas, and West Virginia and all Subdivisions and Special Districts within those States, and Oklahoma,1 whose Claims were released as part of those States’ settlements
Post-Closing Statement has the meaning set forth in Section 3.3(c).
Pre-Closing Statement has the meaning set forth in Section 2.4(a).
Billing Statement has the meaning assigned to such term in Section 2.18(g).
Draft Closing Statement means a draft closing statement as of the close of business of the fifth (5th) Business Day immediately preceding the Closing Date setting forth an estimate of the Purchase Price (including all adjustments and prorations thereto).
Sending state means the state from which a child of a military family is sent, brought, or caused to be sent or brought.
Closing Statements has the meaning set forth in Section 3.3(b).
Final Settlement Statement has the meaning set forth in Section 2.6(b).
Responding state means a state in which a petition or comparable pleading for support or to determine parentage of a child is filed or to which a petition or comparable pleading is forwarded for filing from another state or a foreign country.
Filing Statement means all UCC financing statements or other similar financing statements and UCC (Form UCC-3) termination statements required pursuant to the Loan Documents.
Filing Statements is defined in Section 5.1.13.
Offering Statement means the offering statement on Form 1-A (File No. [_________]) filed by the Company with the Commission on [_________], and the offering circular filed pursuant to Rule 253(g)(2) of the Securities Act on [_________], pursuant to which the Company has qualified for sale a maximum of $50,000,000 of its Common Shares under Regulation A of the Securities Act, as such offering statement may be amended or supplemented from time to time, or such other offering statements that the Company may qualify or register under the Securities Act from time to time.
Final Closing Statement has the meaning set forth in Section 2.4(a).
UCC Financing Statement A financing statement filed, or to be filed, pursuant to the UCC.
polling station means a polling station referred to in subsection (1) of section fifty-one;
Preliminary Settlement Statement shall have the meaning given such term in Section 3.2.
Closing Statement means the Closing Statement in the form on Annex A attached hereto.
UCC Financing Statements means collectively the Lender Financing Statements and the Lessor Financing Statements.
Master Settlement Agreement means the settlement agreement and related documents entered into on November 23, 1998, by the state and leading United States tobacco product manufacturers.
Post-Closing Agreement shall have the meaning set forth in Section 8.9.
Settlement Statement has the meaning set forth in Section 3.2(a).
Initiating state means a state in which a proceeding pursuant to this or a substantially similar reciprocal law is commenced.
Energy Settlement Area means the bus or distribution of busses that represents the physical location of Network Load and by which the obligations of the Network Customer to PJM are settled.
Preliminary Closing Statement shall have the meaning set forth in Section 2.3(a).
Delivery Schedule means the schedule for the delivery of Services as set forth in attached Annex 3.
INTER-CONNECTION POINT/ DELIVERY/ METERING POINT means a single point at 220kV or above, where the power from the Project(s) is injected into the identified ISTS Substation (including the dedicated transmission line connecting the Projects with the substation system) as specified in the RfS document. Metering shall be done at this interconnection point where the power is injected into. For interconnection with grid and metering, the WPDs shall abide by the relevant CERC/ SERC Regulations, Grid Code and Central Electricity Authority (Installation and Operation of Meters) Regulations, 2006 as amended and revised from time to time.
Agreement State means any State with which the U.S. Nuclear Regulatory Commission or the U.S. Atomic Energy Commission has entered into an effective agreement under subsection 274b. of the Atomic Energy Act of 1954, as amended (73 Stat. 689).
