The Company has duly authorized the issuance and sale of the Private Placement Units to the Purchaser.
The terms of the Private Placement Units are as described in the Prospectus (as defined in Section 2.1.1 below).
On the Closing Date and the Option Closing Date, as applicable, the Private Placement Units have been purchased as provided for in the Private Placement Unit Purchase Agreement and the requisite portion of the purchase price for such securities specified herein and therein shall be deposited into the Trust Account.
