Supplier grants Samtec an exclusive option to acquire Supplier Owned Samtec Production Tooling at a cost equal to the value of the applicable Supplier Owned Samtec Production Tooling less any amounts previously paid by Samtec to Supplier.
Any drawings and specifications prepared by Aerogen and/or Aerogen subcontractors in connection with the design, sourcing and supply of Production Tooling shall be the property of Dance and shall be marked “Property of Dance Biopharm Inc.” and shall be stored separately when not in use.
Upon expiration or termination of this Agreement, FUNAI shall, at INFOCUS request, promptly deliver to INFOCUS Production Tooling, procedures, software programs and other relevant information owned by INFOCUS.
Production Tooling will be subject to normal wear and tear in proportion to Dance’s manufacturing volume requirements as specified from time to time, and when necessary will be replaced by Aerogen at Dance’s expense at pass through cost plus [*] handling and administration charge.
Both parties shall maintain adequate casualty and loss insurance with a reputable insurance company reasonably acceptable to each other for all risks at replacement cost of Production Tooling and FUNAI tooling, fixtures and equipment at each party’s facilities.
FUNAI shall reasonably notify INFOCUS regarding the storage location of Production Tooling.
FUNAI shall obtain any and all export/import licenses and duty and sales tax exemptions to import/export the Production Tooling into and from the People’s Republic of China during the term of and after termination of this Agreement.
Production Tooling will be described in detail in Part C of Appendix 3 to this Addendum, which description may be partial and incomplete as at the Effective Date and which may be amended and updated from time to time in writing by mutual agreement of the Parties.
FUNAI shall not lease, sell or transfer Production Tooling to a third party without a written consent of INFOCUS.
Production Tooling shall be subject to inspection by Dance upon reasonable notice and shall be surrendered to Dance in an acceptable condition (normal wear and tear excepted) upon reasonable demand or notice.
