  • Supplier grants Samtec an exclusive option to acquire Supplier Owned Samtec Production Tooling at a cost equal to the value of the applicable Supplier Owned Samtec Production Tooling less any amounts previously paid by Samtec to Supplier.

  • Any drawings and specifications prepared by Aerogen and/or Aerogen subcontractors in connection with the design, sourcing and supply of Production Tooling shall be the property of Dance and shall be marked “Property of Dance Biopharm Inc.” and shall be stored separately when not in use.

  • Production Tooling will be described in detail in Part C of Appendix 3 to this Addendum, which description may be partial and incomplete as at the Effective Date and which may be amended and updated from time to time in writing by mutual agreement of the Parties.

  • FUNAI shall not lease, sell or transfer Production Tooling to a third party without a written consent of INFOCUS.

  • Production Tooling shall be subject to inspection by Dance upon reasonable notice and shall be surrendered to Dance in an acceptable condition (normal wear and tear excepted) upon reasonable demand or notice.

  • Tooling means tools funded or provided by the Buyer.

  • Injection tool means a device used for controlled subsurface injection of radioactive tracer material.

  • Manufacturing means all activities directed to sourcing of necessary raw materials, producing, processing, packaging, labeling, quality assurance testing, release of a Licensed Product or Licensed Product candidate, whether for Development or Commercialization. When used as a verb, “Manufacture” means to engage in Manufacturing.

  • Production means a method of obtaining goods including manufacturing, assembling, processing, raising, growing, breeding, mining, extracting, harvesting, fishing, trapping, gathering, collecting, hunting and capturing.

  • Remanufacturing means the activity of overhauling, retrofitting, fabricating, or repairing a product or its component parts for ultimate sale at retail.
