Prohibited Claim definition

Prohibited Claim means, subject to clause 15.5(b), a Claim arising from an Incident where the total value of the loss or damage suffered by a party to this agreement is less than $50,000.00;
Prohibited Claim any action or objection with respect to (a) claims of the Prepetition Secured Parties against the Debtors or the Liens which secure the Prepetition Obligations, (b) the Superpriority Claims or Liens granted to the Administrative Agent and the Lenders pursuant to Sections 2.20(a) and (b), or (c) the Superpriority Claims or Liens granted to the Prepetition Secured Parties pursuant to Section 2.20(c).
Prohibited Claim means an Assertion by a Covered Seller Party against a Covered Purchaser Party of a claim that the manufacture, use, import, export, offer for sale, sale, distribution or other exploitation of any product or any process or method employed in the manufacture, testing, distribution, use or other exploitation thereof, in each of the foregoing cases in the Field of Use, infringes, directly or indirectly, any Patent of such Covered Seller Party.

Prohibited Claim means any (i) claim, cause of action, suit or defense against any of the Existing Lenders or Pre-Petition Agent, the Lenders or the Agent or (ii) action or objection with respect to (a) claims of the Existing Lenders or Pre-Petition Agent against the Borrower or any Guarantor or the Liens which secure the Existing Agreement, (b) the Superpriority claims or Liens granted to the Agent and the Lenders pursuant to paragraphs (a) or (b) of Section 2.23 and (iii) the Superpriority claims or Liens granted to the Existing Lenders or Pre-Petition Agent pursuant to Sections 2.23(c).

  • Affected Claim means any Claim other than an Unaffected Claim;

For the avoidance of doubt, no Claim, Cause of Action, obligation, or liability expressly set forth in or preserved by the Plan constitutes an Exculpated Claim.

  • Covered Claim means either a Provider Covered Claim or Customer Covered Claim.

  • Contested Claim means any Tax, Indebtedness or other claim or liability (i) the validity or amount of which is being diligently contested in good faith, (ii) for which adequate reserve, or other appropriate provision, if any, as required in conformity with GAAP shall have been made, and (iii) with respect to which any right to execute upon or sell any assets of the Company or of any of its Subsidiaries has not matured or has been and continues to be effectively enjoined, superseded or stayed.

  • Insured Claim means any Claim arising from an incident or occurrence alleged to have occurred prior to the Effective Date that is covered under an insurance policy applicable to the Debtors or their businesses.
