Proposed Reorganization definition
Proposed Reorganization means the proposed reorganization of the Company's European holding company structure which will result in a change from the current structure as shown on Exhibit 1.1(P)(3) hereto to the proposed structure as shown on Exhibit 1.1(P)(4).

Proposed Reorganization means (i) the merger, amalgamation or other combination of the business and operations of Borrower or any of its Subsidiaries and any entity acquired by Borrower pursuant to the Stock Purchase Agreement (or any entity that is a subsidiary of any such entity acquired by Borrower pursuant to the Stock Purchase Agreement) and (ii) any transfer of the assets or equity securities of any entity acquired by Borrower pursuant to the Stock Purchase Agreement (or of any entity that is a subsidiary of any such entity acquired by Borrower pursuant to the Stock Purchase Agreement) to Borrower or any Subsidiary.
Proposed Reorganization means the transaction for which the stockholders of the Former Parent have approved a merger transaction that will result in such stockholders owning common shares of the Parent Borrower rather than common stock of the Former Parent. Upon completion of the merger, the Parent Borrower and its Subsidiaries will continue to conduct substantially the same business that the Former Parent and its Subsidiaries conducted.
