Proposed Structure definition

Proposed Structure means the structure set out in paragraphs 10, 11 and 12 of the Announcement.
Proposed Structure. The debenture will be convertible at the lesser of, a share price using shares valued at a private company valuation of $6,000,000 (pre-investment), or a 40% discount from the previous 5 day, from the date of conversion, average closing bid price of the common stock.
